Role Overview:
The Legal Counsel will support and manage legal workstreams across corporate, commercial, regulatory, product, technology, employment, governance and strategic matters. The role requires a business-facing lawyer who can independently draft, negotiate, structure and close legal documents, while also advising founders, leadership, product teams and business teams on practical legal and regulatory risk. The candidate should be comfortable working in a fast-paced startup environment where legal support must be precise, commercially useful and execution-oriented.
Key Responsibilities:
1. Manage day-to-day legal requirements of the company and its group entities across business, product, finance, operations, compliance and HR teams.
2. Act as the first point of contact for founders and senior leadership on legal, regulatory, contractual, strategic and risk-related matters.
3. Draft, review, negotiate and close commercial contracts, vendor agreements, master services agreements, SaaS agreements, technology agreements, API integration agreements, NDAs, consultancy agreements, employment agreements, advisory agreements and strategic partnership documents.
4. Handle fintech, NBFC, lending, digital lending, LSP, payment, outsourcing and regulatory documentation, including agreements with regulated entities, technology vendors, service providers, lenders, partners and platform participants.
5. Advise product and business teams on legal structuring of new products, customer journeys, consent flows, data usage, repayment flows, KFS requirements, disclosures, grievance redressal, third-party integrations and regulatory touchpoints.
6. Review and interpret RBI regulations, digital lending guidelines, outsourcing requirements, KYC / CKYC requirements, payment-related regulations, data protection laws, company law and other applicable legal frameworks.
7. Prepare legal notes, regulatory summaries, compliance trackers, internal guidance documents, board notes, implementation plans and business-facing advisory notes.
8. Support NBFC-related work, including lending arrangements, co-lending structures, sourcing models, DLG / FLDG arrangements, bureau reporting, KYC / CKYC processes, collection-related documentation and regulatory inspection preparedness.
9. Support M&A, investments, acquisitions, restructurings and strategic transactions, including due diligence, transaction structuring, term sheets, definitive agreements, CP trackers, disclosure schedules, closing documents and ancillary approvals.
10. Draft and review corporate governance documents, including board resolutions, shareholder resolutions, notices, explanatory statements, authorisations, powers of attorney, consent letters and filing-related documents.
11. Coordinate with company secretaries, external law firms, advisors, auditors, lenders, investors, regulators, vendors, courier partners, logistics service providers and other external stakeholders for legal, commercial and regulatory workstreams.
12. Handle group-level legal matters, including inter-company arrangements, cross-entity documentation, brand usage arrangements, data sharing arrangements, intra-group service arrangements and corporate restructuring support.
13. Advise on employment and HR legal matters, including offer letters, employment agreements, consultant agreements, advisor agreements, exit documentation, ESOP documentation, internal policies and workplace governance.
14. Advise on data protection, privacy, technology, AI, software licensing, cloud services, API integrations, information security, vendor data access and customer data handling issues.
15. Draft and respond to legal notices, breach notices, termination letters, settlement communications, dispute correspondence, customer escalations and vendor disputes.
16. Manage the full contract lifecycle from drafting, negotiation and execution to renewal, amendment, termination, tracking, compliance monitoring and dispute support.
17. Identify legal, regulatory and commercial risks in business arrangements and suggest practical, business-friendly solutions without compromising mandatory compliance requirements.
18. Build and improve legal templates, clause banks, playbooks, approval workflows, contract trackers, compliance calendars and internal legal processes.
19. Use legal technology and AI tools to improve contract review, regulatory tracking, compliance reporting, legal research and turnaround time.
20. Ensure legal work remains aligned with business objectives, regulatory obligations, internal governance standards and overall risk management expectations.
21. Act as product counsel for new and existing business verticals, advising on product architecture, user flows, commercial models, documentation, disclosures, data flows, third-party integrations and launch-readiness from a legal and regulatory perspective.
22. Draft, review and negotiate shipping aggregation agreements, merchant terms, courier partner arrangements, logistics service agreements, COD remittance terms, wallet / post-paid model terms and related operational addendums.
23. Advise on legal risk in high-volume merchant arrangements, including commercial deviations, liability exposure, service commitments, claims handling and exceptions to standard terms.
Required Qualifications:
- Bachelor's degree in law from a recognised university.
- Approximately 2-5 years of post-qualification experience in corporate law, commercial contracts, fintech, technology, M&A, venture capital, private equity, NBFC, banking, financial services, startup advisory or an in-house legal role.
- Prior experience in a law firm, startup, fintech company, NBFC, technology company or high-growth business environment will be preferred.
- Strong ability to independently draft, review and negotiate contracts with minimal supervision.
Required Skills and Competencies
- Strong drafting, negotiation and contract review skills across commercial, shipping aggregation, technology, financial services and corporate agreements.
- Good understanding of corporate law, contract law, company law, employment law, data protection and commercial legal principles.
- Ability to interpret RBI regulations, digital lending requirements, outsourcing requirements, payment-related regulations and fintech regulatory frameworks.
- Commercial judgment to balance legal risk with business objectives and provide practical, clear and execution-oriented advice.
- Ability to work directly with founders, senior leadership, product teams, business teams, finance teams, external counsel and counterparties.
- Strong ownership, attention to detail, responsiveness and ability to manage multiple workstreams simultaneously.
- Comfort with legal technology, AI-assisted workflows, contract trackers, compliance tools and legal operations processes.
