Job Title: Head - Legal

Location: New Delhi

Roles and Responsibilities:

1. Legal Advisory & Documentation

- Provide end-to-end legal support on corporate laws, labour and employment laws, civil and criminal laws, and commercial regulations.

- Draft, review, and negotiate a wide range of legal agreements including Supply and Purchase Agreements, NDAs, MoUs, lease agreements, and strategic business contracts.

- Offer legal advice on structuring and execution of business transactions to minimize legal risks.

2. Litigation & Arbitration

- Oversee all litigation matters, including:

- Civil suits

- Criminal complaints

- Recovery suits

- 138 Negotiable Instruments Act cases (cheque bounce)

- Labour disputes

- Contractual breaches

- Represent the company's legal interests in proceedings before District Courts, High Courts, NCLT/NCLAT, and Tribunals.

- Manage and monitor arbitration proceedings, both institutional and ad hoc, including appointment of arbitrators and enforcement of awards.

- Coordinate with external counsel, ensure proper documentation, and develop litigation strategies to protect the company's position.

3. Contract Management & Negotiations

- Lead legal negotiations with vendors, clients, service providers, and contractors.

- Ensure favorable legal terms in all business contracts including supply, purchase, and service level agreements.

- Manage risks related to contract enforcement and breach by advising operational stakeholders during pre- and post-contract execution stages.

4. Regulatory & Statutory Legal Compliance

- Ensure legal compliance with applicable labor laws, environmental regulations, factory laws, and industry-specific statutory requirements.

- Advise the management on compliance with all relevant corporate and commercial laws applicable to a listed manufacturing company.

5. Strategic Legal Advisory

- Serve as the primary legal advisor to the senior leadership team and board of directors.

- Participate in business strategy meetings, offering legal risk assessments and mitigation strategies for current and future projects.

- Maintain productive relationships with government bodies, regulatory agencies, and legal forums.

Desired Candidate Profile

18 plus years of solid experience in legal leadership, ideally in a listed manufacturing company.

In-depth understanding of Indian laws including Contract Act, Companies Act, Labour laws, Civil Procedure Code (CPC), Criminal Procedure Code (CrPC), Arbitration and Conciliation Act, and Negotiable Instruments Act (Sec. 138).

Demonstrated ability in handling high-stakes litigation, arbitration, and complex commercial negotiations.

Strong leadership skills to manage internal legal teams and external legal partners.
