This position would include the mentioned set of responsibilities but not limited to:

- Ensuring compliance with all rules & regulations and filings applicable to the Company, relating to but not limited to regulatory & statutory bodies like ROC, IEPF, RBI, NHB, IRDAI, SEBI, and periodical reporting of mandated information.

- Responsible for organizing, conducting and recording all statutory meetings required under the Companies Act, of shareholders and directors (including committee meetings), routine liaising with Board - this would include preparation of invitations, agenda and minutes of Board, and General Meetings, postal ballots with successful conduct with least complexities and closing on all action items arising out of Board and committee meetings and systematic reporting of the same.

- Drafting of annual reports comprising of notice, directors report, corporate governance report and management discussion analysis report, with relevant annexures, as required.

- Tracking & monitoring statutory deadlines of secretarial matters and non-statutory due dates.

- Updating the management on the changes/amendments to the corporate and SEBI laws for ensuring proper compliances.

- Liaise with, and represent the Company before various forums, including regulators, public authority etc. and creating relations of trust.

- Liaise with third party vendors like RTA, Debenture Trustees, ESOPs vendors, SDD vendors, etc. and manage shareholders services/grievances on various platforms.

- Co-ordinating the M & A Activities, including legal due diligence, drafting / vetting shareholders agreement, share subscription agreement.

- Drafting/ vetting of requisite documents and associated liasoning with external agencies for debt raising, credit ratings and assisting in managing ESOP activities of the Company.

- Attending to all SEBI related compliance issues/ Prohibition of Insider Trading (PIT) regulations and other policies and timely disclosure of all regulatory filings. Website maintenance in terms of SEBI Listing regulations.

- Ensuring adherence to the "Code of Conduct for the Board of Directors and Senior Management" approved by the Board.

- Lead and contribute to the development of business processes and policies to better enable achievement of business objectives, mitigate risk, reduce inefficiencies, and improve effectiveness.

- Identification and due compliance with local laws and regulations and assist in auditing the compliance to laws and regulatory requirement.

- Advise the management on their responsibilities as per the statutory norms in order to protect the interests / reputation of the CEO, Board and the organization.

- Maintenance of records and registers responsibly.

Required Candidate profile/competency:

- Strong academic results and extensive knowledge of Companies Act and related rules, Secretarial Standards, regulations, corporate law and regulatory guidelines pertaining to NBFCs/HFCs including FEMA, SEBI, RBI, etc. and & retail assets matters.

- Ability to manage the Board and experience, preferably in senior level management role in NBFC/Bank/Financial Services in handling Secretarial Department/ Board Secretariat and dealing and interactions with regulators.

- Ground level Co-ordination during regulatory inspections/ Statutory , Internal, Secretarial Audits, verifications and follow up for compliance on their reports, or if any.

- The experience should be in listed entities and related compliance/filings and secretarial functions.

- Minimum 16 years' post qualification experience in a listed company, preferably HFC/NBFC/Fintech.

- Qualified Company Secretary and desirable if: L.L.B, C.A, I.C.W.A
