Position Overview
We are seeking a highly skilled and detail oriented In House Legal Counsel to lead and manage all legal, regulatory, and compliance functions of the organization. This role requires strong expertise in corporate law, contract management, employment laws, civil matters, and regulatory compliance, along with hands on experience representing the organization in arbitration and litigation.
The ideal candidate will be proactive, analytical, and equipped with the ability to independently manage diverse legal matters while collaborating with multiple internal stakeholders.
Key Responsibilities
1. Corporate Legal & Contract Management
Draft, review, negotiate, and finalize a wide range of corporate and commercial agreements, including:
- Master Service Agreements (MSA)
- Statements of Work (SOW)
- Non Compete Agreements (NCA)
- Non-Disclosure Agreements (NDA)
- Term Sheets
- Acquisition and Investment Agreements
- Vendor contracts, partnership agreements, confidentiality agreements, etc.
- Provide legal support for strategic transactions including acquisitions, investments, due diligence, and corporate structuring.
2. Employment Law & Employee Relations
- Advise on various employment law matters including discipline, terminations, POSH, employee grievances, and internal investigations.
- Support and assist with handling employee litigation, disputes, and labor law compliance.
3. Litigation, Arbitration & Civil Matters
- Represent the company in arbitration, legal disputes, and civil litigation.
- Liaise with external legal counsel to manage legal strategy, filings, documentation, and overall case handling.
- Draft legal notices, responses, and relevant pleadings where required.
4. Regulatory Compliance & Governance
- Ensure full compliance with the Companies Act, 2013, corporate governance standards, and applicable statutory requirements.
Monitor and implement regulatory compliance across the organization including:
- SEBI regulations (if applicable)
- RBI guidelines (if applicable)
- Industry specific regulatory frameworks
- Maintain updated knowledge of changes in laws and regulations affecting the business.
5. Policy Review & Internal Compliance
- Ensure organizational policies are aligned with applicable laws.
- Review, draft, and update internal legal and HR policies as needed.
- Conduct internal audits and compliance checks to minimize legal and regulatory risks.
6. Legal Advisory & Risk Mitigation
- Serve as the primary legal advisor for business units, leadership teams, and cross functional stakeholders.
- Identify potential legal risks and develop mitigation strategies.
- Support senior management in strategic business decision making by providing timely and accurate legal advice.
Required Qualifications & Experience
- LLB degree (mandatory) from a recognized law school; LLM preferred but not required.
- Prior experience in a corporate legal department or reputed law firm.
Strong knowledge of:
- Companies Act, 2013
- Corporate and commercial laws
- Employment and labor laws
- Civil litigation procedures
- Experience representing companies in arbitration/litigation matters.
- Familiarity with regulatory compliance across business operations.
