Job Specification
Corporate Governance:
- Ensure that the company complies with statutory and regulatory requirements.
- Oversee the development and implementation of governance policies and procedures.
Regulatory Compliance:
- Maintain and update statutory registers and records as required under the Companies Act.
- Prepare and submit timely compliance reports and documentation.
Board and Committee Support:
- Support various board committees, ensuring they operate effectively and in compliance with legal standards.
- Ensure accurate documentation of board decisions and resolutions.
Stakeholder Communication:
- Manage shareholder communication and address queries regarding company compliance.
- Ensure transparency in communication with relevant internal and external stakeholders.
Risk Management and Compliance Monitoring:
- Develop risk mitigation strategies and ensure adherence to company policies.
- Stay updated on new laws and regulations and implement necessary changes in policies.
Training and Development:
- Support team members in developing knowledge of compliance and governance best practices.
Necessary Qualification & Skills set:
- Strong knowledge of company law, excellent organizational skills, and a strategic approach to managing regulatory requirements. This role requires close collaboration with leadership to ensure the company meets its regulatory obligations and maintains the best practices in governance.
- Education: Company Secretary (CS)
- Experience: Minimum 7 years of experience in a similar role, with a strong background in corporate governance and compliance.
- Skills: In-depth knowledge of company law, excellent communication and interpersonal skills, high attention to detail, and strategic thinking.
- Preferred Qualities: Ability to handle confidential information, strong ethical standards, and proactive approach to regulatory changes.
