- Reports To: Head of Legal / General Counsel

Position Overview:

We are seeking a skilled and detail-oriented Legal Counsellor to provide expert legal advice, ensure compliance, manage risk, and support various departments with legal documentation, dispute resolution, and strategic corporate activities including mergers and acquisitions. The ideal candidate will have strong analytical skills and the ability to deliver practical, business-focused legal guidance.

Key Responsibilities:

- Provide legal advice and support on a broad range of corporate, commercial, regulatory, and mergers & acquisitions (M&A) matters.

- Draft, review, and negotiate contracts, agreements, and legal documentation, including transaction-related documents such as share purchase agreements, asset purchase agreements, and joint venture agreements.

- Support end-to-end M&A transactions, including due diligence, structuring, deal execution, and post-merger integration.

- Conduct legal due diligence and identify potential risks, liabilities, and compliance gaps in M&A transactions.

- Collaborate with internal stakeholders, external counsel, and advisors on transaction structuring and execution.

- Conduct legal research and stay updated on relevant laws, regulations, and best practices.

- Identify potential legal risks and develop mitigation strategies.

- Support litigation and dispute resolution processes, coordinating with external counsel when required.

- Ensure compliance with applicable laws, regulatory requirements, and internal policies.

- Assist in corporate governance matters, including board documentation, resolutions, and filings.

- Deliver internal training on legal, regulatory, and compliance topics.

- Maintain legal records and documentation systematically.

- Represent the organization in negotiations, meetings, and legal proceedings as needed.

Preferred Skills:

- Experience in insurance, financial services, or related sectors.

- Exposure to M&A transactions, corporate restructuring, and investment deals.

- Familiarity with cross-border transactions and international legal frameworks.

- Proficiency in legal management tools and documentation systems.
