Manager - Legal Incorporation and Labour Compliance

Directs corporate setups, structural changes, and adherence to employment laws.

Lead end-to-end corporate setups and statutory compliance management for business entities in India. Minimizes the legal risks, manages interactions with regulatory portals like the Ministry of Corporate Affairs (MCA), and guides internal stakeholders through local laws.

Key Responsibilities:

Legal Incorporation & Corporate Structuring:

- Manage end-to-end corporate incorporation processes, including name approvals, drafting Memorandums (MoA) and Articles of Association (AoA), and filing foundational documents with the Ministry of Corporate Affairs (MCA).

- Handle legal formalities for branch setups, subsidiary formations, joint ventures, or business dissolutions.

- Ensure timely filing of corporate changes, capital alterations, and director appointments/resignations on the corporate registry.

- Coordinate with external counsel, secretarial firms, and regulatory bodies to clear legal hurdles during corporate structuring.

- Handle Foreign Exchange Management Act (FEMA) filings, including FDI/ODI reporting and Foreign Liabilities and Assets (FLA) returns where applicable.

- Act as the primary point of contact for government authorities, banks, and external legal consultants.

Labour Law & Employment Compliance:

- Oversee full-spectrum statutory compliance under Indian labour laws, including EPF (Provident Fund), ESIC (Employees' State Insurance), Professional Tax, and Labour Welfare Fund (LWF).

- Procure, renew, and maintain all mandatory employment and factory licenses, registrations, and factory/establishment approvals.

- Monitor adherence to emerging national Labour Codes and advise internal human resources and management on operational impacts.

- Manage vendor and contractor labour compliance, conducting periodic audits of third-party staffing agencies.

Audits, Risk, and Litigation Management:

- Design and execute comprehensive statutory and internal compliance audits to flag and remediate governance gaps.

- Handle government labour inspections, manage responses to show-cause notices, and resolve employment disputes or industrial relations friction.

- Formulate and update internal corporate policies aligned with shifting regulatory frameworks.

Qualification And Experience:

1. Bachelor of Laws (LLB) or Master of Laws (LLM); additional Company Secretary (CS) qualification or ICSI membership is highly preferred with 5 to 10 years of experience working as a compliance manager or in a similar position with specialized hands-on expertise in company incorporations and Indian labour jurisprudence.

2. Deep working knowledge of MCA portals, labour compliance software, regulatory filing systems, and strong risk-assessment abilities.

3. Experience advising clients on multi-state labour law compliance.

4. Exposure to labour law due diligence, compliance reviews, and regulatory inspections.

5. Deep familiarity with the MCA21 portal, digital signatures, and corporate governance norms.

6. Strong analytical capabilities, clear communication for client/board advisories, and strict attention to detail.
