ROLES & RESPONSIBILITIES: Operational Excellence: - Compliance Matters - Advising the board of directors and employees on compliance requirements. - Create and manage effective action plans in response to audit discoveries and compliance violations. - Implement, review and manage effective compliance policies and programs in line with global standards. - Ensure all employees are educated on the latest policies and processes. - Review company procedures, practices, and documents to identify possible weaknesses or risks. - Managing relationship with internal stakeholders including internal regional teams, Auditors, Shareholders, Board of Directors and Committees of the Board. - Ensuring and monitoring compliance with laws and regulations applicable to the Company including compliances relating to Foreign Direct Investment, Companies Act, and various Labour laws. - Formulating terms of reference/charters for all Board and Committees and ensure that committees are properly constituted and operate in accordance with their terms of reference/charters. - Imparting Compliance training to the team including new joiners onboarding training - Secretarial - Overseeing Secretarial activities as prescribed under the Companies Act and other applicable laws/regulations; - Conducting, and coordinating various Board meetings, committee meetings (if any) and general meeting; - Working with the external service provider to ensure that requisite records, statutory e-forms, documents, registers, etc., are maintained and submitted to regulatory authorities, auditors, etc., in timely manner; - Handling matters related to fund raising (equity/debt), if any. - Coordinating with cross functional teams (within and outside the India) to provide corporate documents, authorities and other necessary reports as may be required by various regulatory authorities. QUALIFICATIONS: - Bachelor's degree in law - 6-9 years of work experience in compliance - Experience in the compliance department of a multinational finance shared services organization and/or Private Equity preferred - Company Secretary qualification preferred - Ability to manage data, upload and store it in compliance with statutory and company regulations - Excellent proficiency in English and ability to understand legal and compliance documents - Systems/ Tools/ Application knowledge: - Blueridge, Box.com - Proficiency in data operations and data management - Advanced proficiency in Excel - Displays high intellectual curiosity and innovative mindset - Demonstrates highest levels of integrity - Focuses on delivery excellence and accountability - Displays team-work orientation and is highly collaborative - Builds strong relationships with local and global colleagues - Displays behaviors of self-reliance - Team player and approachable Smita ParmarTalent Specialist m: +91-9867301008
