Key Responsibilities:
- Ensure compliance with the Companies Act, SEBI regulations, FEMA, and other applicable statutory requirements.
- Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Prepare and circulate meeting agendas, notices, board papers, resolutions, and minutes.
- Maintain statutory registers, records, and secretarial documentation.
- File statutory forms and returns with the Registrar of Companies (ROC) and other regulatory authorities within prescribed timelines.
- Advise senior management and the Board on corporate governance practices and regulatory developments.
- Draft, review, and manage legal agreements, resolutions, and corporate documentation.
- Coordinate with auditors, legal advisors, consultants, and regulatory bodies for compliance matters.
- Support corporate restructuring activities, including mergers, acquisitions, capital restructuring, and due diligence.
- Monitor compliance calendars and ensure timely completion of statutory obligations.
- Assist in implementing internal governance policies and compliance frameworks.
- Manage secretarial audits and ensure closure of audit observations.
- Handle shareholding records, ESOP-related compliance, and corporate filings where applicable.
- Prepare governance reports, compliance dashboards, and management presentations.
- Drive continuous improvement in secretarial processes and regulatory compliance.
Required Skills:
- Strong knowledge of the Companies Act, 2013, SEBI Regulations, FEMA, and corporate laws.
- Expertise in corporate governance and secretarial compliance.
- Experience in conducting Board Meetings, AGMs, and Committee Meetings.
- Hands-on experience with MCA filings, ROC compliance, and statutory documentation.
- Knowledge of corporate restructuring, legal documentation, and due diligence processes.
- Excellent drafting skills for board resolutions, minutes, policies, and legal documents.
- Strong stakeholder management and communication skills.
- Proficiency in MS Office and secretarial compliance tools.
- Strong analytical, organizational, and problem-solving abilities.
Preferred Qualifications:
- Qualified Company Secretary (ICSI) is mandatory.
- LLB/LLM qualification will be an added advantage.
- 6-9 years of experience in corporate secretarial and governance functions.
- Experience working in a GCC, multinational organization, or large corporate environment is preferred.
