Manager - Associate Company Secretary (Listed Co.)

Manages corporate secretarial and compliance functions, ensuring adherence to legal and regulatory requirements. Organizing board meetings, drafting documents, maintaining records, and providing advice on corporate governance best practices. Also act as a liaison between the company, its board, and external stakeholders.

Key Responsibilities:

Meeting Management:

- Organizing and coordinating board, committee, and shareholder meetings, including drafting agendas, notices, and minutes.

Compliance:

- Ensuring the company adheres to the Companies Act 2013, Secretarial Standards, and other relevant regulations.

Record Keeping:

- Maintaining statutory registers, books, and other company records, ensuring accuracy and compliance.

Filing and Reporting:

- Preparing and filing various returns, forms, and documents with the Registrar of Companies and other regulatory bodies.

Corporate Governance:

- Providing advice and support to the board and management on corporate governance matters, including best practices and compliance.

Stakeholder Communication:

- Acting as a point of contact for communication with the board, management, external stakeholders, and regulatory authorities.

Legal and Regulatory Updates:

- Staying informed about changes in legislation and regulations and ensuring the company's policies and procedures are updated accordingly.

Contract Management:

- Reviewing and ensuring compliance of routine agreements and contracts.

Risk Management:

- Identifying and managing potential legal and compliance risks.

Qualification And Experience:

1. Qualified Company Secretary & LLB with 10-12 years of relevant experience in a similar role with a Listed Organisation.

2. Strong knowledge of the Companies Act, SEBI regulations, and other relevant corporate laws.

3. Excellent communication, interpersonal, and organizational skills.

4. Proficiency in MS Office Suite and other relevant software.

5. Attention to detail and strong analytical skills.

6. Ability to work independently and as part of a team.
