Who we are looking for: - Must be a qualified L.L.B from a top rated law university. - Excellent drafting skills is mandatory - Total Job experience to be 5 - 7 Years only, with working experience as a corporate lawyer either in a law firm or in a company of repute - Additional qualification like CA / ICWA / C.S qualifications will have more preferences. - Extensive experience in Corporate Laws & Commercial Laws are primary criteria - Personally legal drafting of Commercial agreement, Business agreement, Investment agreement etc - Personally legal drafting in the event of Merger, Acquisition or Amalgamation will be added advantage - Good understanding and analysis of financial statements of the company. Preferences: - Preferred age between 25 to 35 Years - Strong commercial acumen is preferred - Expert in English communication is must - Candidate having more corporate secretarial services experience is less preferred - Exposure working with CFO / CEO will be added advantage Duties & responsibilities: - Can independently conceptualize and write legal documents like deeds, agreements, notices etc. - Drafting, vetting and redlining of various agreements including Shareholders Agreements, Share Purchase Agreements, Master Service Agreements, Engineering, procurement, Service Agreements and other documents like Memorandums of Understanding, Term Sheets etc. - Drafting, negotiating and reviewing legal documentation & commercial contracts for company projects, encompassing construction, subcontracts, procurement, and design. - Ensure equitable terms, safeguard company interests, and uphold legal compliance - Identify legal risks in construction projects, advice on mitigation strategies, and evaluate liabilities, insurance, and indemnification clauses for dispute prevention. - Implementing new change requests & changes in the existing documentation / legal documentation system / legal policies all across all business units in Muscat and forming the central repository of all original contracts. - To develop and implement legal strategies aligned with the company's goals & create a robust legal framework, enhancing company's ability to navigate legal challenges effectively. - Draft legal documents related to the projects wherein company wants to invest the fund. - Implement and coordinate the strategic policies, procedures, controls and operational objectives of the Group Legal Function to ensure that the Group's exposure to legal risk in allocated businesses or assignments is effectively managed - To maintain Legal Tracker pertaining to Bills, Case Status, Legal Notices, etc. - Resolving legal issues of the Company through engaging Sole Arbitrator/ Arbitrators. - Provide guidance on labour and employment matters, including employment contracts, workplace safety, labour unions, and compliance with labour laws. - Ensuring timely Compliance with various statutory laws Key Skills preferred: Corporate Laws, Commercial Laws, Legal Drafting, Regulatory Compliance, pre-investment corporate due diligence, International Law, FEMA, Corporate counsel, Mergers, Acquisitions, Amalgamations, Compliance under the corporate laws, Corporate Restructuring, Board Meetings, Drafting code of conduct, Share Purchase Agreement, Resolutions, Minutes for Board meetings and General meetings, Statutory records, Effective communicator, Management skills etc. Salary Package: OMR ..
