CTC: 15 to 18 LPA

The Associate will support associate mangers, senior associates and partners on the transactions and matters, taking ownership of defined workstreams and gradually handling smaller mandates more independently. The role combines strong drafting and research with growing client exposure and responsibility.

Key responsibilities:

- Transactional and matter support: Assist in end-to-end execution of investment transaction (venture capital/private equity), M&A, including drafting, research, checklists and coordination with counter parties and internal teams.

- Drafting and documentation: Prepare and review agreements, term sheets, share subscription agreement, shareholders' agreement, corporate documents, resolutions, opinions and ancillary documentation under guidance from seniors.

- Legal research and analysis: Conduct targeted legal research, prepare research notes and assist in structuring solutions on corporate, regulatory and transactional issues.

- Due diligence: Participate in and, where appropriate, and undertakes legal due diligence exercises, prepare diligence reports and issue lists.

- Client interaction: Join client calls and meetings, take accurate notes, follow up on action items and gradually handle routine queries with supervision.

- Coordination and execution: Liaise with opposing counsel, advisors, and internal stakeholders to ensure smooth document flow, signatures, closing mechanics and timely deliverables.

- Knowledge and practice development: Contribute to internal knowledge databases, precedents and, where appropriate, articles, alerts or presentations.

Required qualifications and skills:

- Education: Bachelor of Laws (LLB) or equivalent from a recognised institution, with solid academic performance, a qualification as a company secretary and/or a diploma in business law will be an added advantage..

- Experience: Approximately 2/3 years of post-qualification experience in a reputable law firm, with exposure to General Corporate, Venture Capital, Private Equity and/or M&A work.

Technical skills:

- Strong fundamentals in companies' law and contract law, with developing familiarity in securities / banking regulations (as relevant).

- Good drafting and document review skills, attention to detail and comfort with transaction structures and conditions precedent.

- Strong legal research capability and ability to convert research into clear, practical notes.

- Soft skills: Strong written and verbal communication, high ownership on assigned tasks, ability to manage timelines and multiple matters, and a collaborative working style.

- Work style: Curious, coachable and open to feedback, with a willingness to put in the work required in a high-performance, transaction-driven environment.
