Role Overview

We are seeking an experienced Head - Legal & Compliance to lead the company's legal and compliance functions. The role will be responsible for managing legal risks, overseeing statutory compliances relevant to manufacturing operations, supporting ESG compliance initiatives, and managing the drafting and negotiation of key commercial contracts.

Key Responsibilities

1. Contract Drafting & Negotiation

- Draft, review, and negotiate a wide range of commercial agreements including vendor contracts, distributor agreements, manufacturing agreements, NDAs, service agreements, logistics contracts, and partnership arrangements.

- Provide legal support during commercial negotiations and ensure contracts adequately mitigate legal and operational risks.

- Maintain and manage contract documentation and standard agreement templates.

2. Labour Law & Factory Compliance

- Ensure compliance with applicable labour laws, Factories Act, and other relevant statutory requirements for manufacturing operations.

- Advise internal teams on employment-related legal issues and statutory obligations.

- Work closely with HR and plant teams to ensure regulatory compliance across manufacturing facilities.

3. ESG Compliance & Sustainability Regulations

- Support the development and implementation of the company's Environmental, Social, and Governance (ESG) compliance framework.

- Monitor and ensure compliance with applicable ESG-related regulatory requirements and reporting obligations, including sustainability disclosures where applicable.

- Work with internal teams to ensure compliance with environmental regulations, waste management requirements, and sustainability standards relevant to manufacturing and food processing operations.

- Assist in implementing processes to track ESG metrics and support preparation of ESG disclosures and reports where required.

- Advise leadership on evolving ESG regulations, industry standards, and sustainability compliance practices.

- Support initiatives related to responsible sourcing, environmental compliance, and corporate sustainability commitments.

4. Legal Advisory & Risk Management

- Identify potential legal and regulatory risks and recommend mitigation strategies.

- Provide legal guidance to business teams on operational, commercial, and regulatory matters.

- Coordinate with external legal counsel where necessary.
