Job Description:

- We are hiring for a Singapore-based company looking for a strong legal professional to lead corporate legal, compliance, and strategic advisory functions in an Individual Contributor (IC) capacity.

- This role requires a highly independent and business-oriented legal professional with strong expertise in corporate laws, FEMA/FERA regulations, shareholder agreements, private equity transactions, and regulatory compliance frameworks.

- The ideal candidate should possess strong stakeholder management capabilities and experience working closely with external legal firms, advisors, and business leadership teams.

Key Responsibilities:

- Handle end-to-end corporate legal and compliance matters across the organization.

- Manage shareholder agreements (SHA), commercial contracts, legal documentation, and regulatory filings.

- Provide legal support for private equity transactions, investment structures, fundraising activities, and strategic business initiatives.

- Ensure compliance with FEMA, FERA, Companies Act, and other applicable regulatory frameworks.

- Review, draft, negotiate, and manage contracts, agreements, and legal communications.

- Coordinate closely with external legal firms, consultants, and regulatory advisors on legal matters and compliance requirements.

- Support leadership teams on legal risk assessment, governance, and strategic decision-making.

- Drive corporate governance and ensure adherence to statutory and regulatory obligations.

- Manage legal documentation related to investments, shareholders, partnerships, and business transactions.

- Collaborate with cross-functional stakeholders including Finance, HR, Business, and Compliance teams.

- Identify legal and compliance risks while recommending mitigation strategies.

- Ensure timely closure of legal matters, filings, approvals, and documentation requirements.

Desired Candidate Profile:

- Strong experience in FEMA, FERA, Shareholder Agreements (SHA), and corporate compliances.

- Experience handling private equity transactions and investment structures.

- Strong exposure to corporate legal advisory and strategic business support.

- Experience working closely with external legal firms, consultants, and advisors.

- Strong understanding of corporate governance and regulatory frameworks.

- Ability to independently manage legal and compliance functions with high ownership.

- Excellent drafting, negotiation, and stakeholder management skills.

- Strong analytical, problem-solving, and decision-making capabilities.

- Ability to work in dynamic and fast-paced business environments.
