Job Title: Head - Company Secretary & Compliance

Location: Aurangabad

Department: Legal & Corporate Governance

Reports To: CFO

About the Company:

It is a leading Tier-1 supplier to global automotive OEMs, specializing in wiring harnesses, electronic sensors, mechatronic assemblies, and control systems. With manufacturing facilities across India and a growing global footprint, the company operates in a dynamic regulatory environment requiring strong governance and compliance oversight.

Role Objective:

To lead and oversee the corporate governance, legal compliance, and secretarial functions across all group entities (domestic and international). This role will ensure adherence to statutory obligations under the Companies Act, SEBI regulations (if applicable), FEMA, and other corporate laws while supporting the Board and leadership on regulatory, legal, and compliance matters.

Key Responsibilities:

Company Secretarial & Board Governance:

- Organize and manage Board, Committee, AGM, and EGM meetings in accordance with applicable laws.

- Draft, review, and maintain Board minutes, resolutions, agendas, and corporate records.

- Ensure timely filings with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), and other regulatory authorities.

- Advise the Board on corporate governance best practices.

Legal & Regulatory Compliance:

- Ensure end-to-end compliance with Companies Act, FEMA, Labour Laws, Industrial Safety Laws, and other applicable regulations.

- Monitor and report on entity-level statutory obligations across multiple plants, units, and subsidiaries, including foreign entities.

- Stay updated on regulatory changes and assess impact on the business.

Multi-Entity Governance:

- Manage legal and secretarial compliance for group companies, including overseas subsidiaries, JVs, or acquisitions.

- Coordinate inter-company transactions, related-party disclosures, and group-level restructuring.

Contracts & Legal Advisory:

- Collaborate with legal counsel for review and vetting of contracts, MoUs, NDAs, lease agreements, JV documentation, and IP matters.

- Support business heads on regulatory aspects of vendor/customer agreements licensing, and expansion activities.

- Liaise with external advisors, consultants, and legal firms.

Risk Management & Ethics

- Design and implement a group-wide compliance and ethics framework.

- Set up and manage whistleblower mechanisms, internal controls, and compliance reporting systems.

- Ensure statutory compliance during investor due diligence, audits, and M&A activities.

Key Requirements:

Education & Qualifications:

- Qualified Company Secretary (ICSI) - Mandatory

- Additional qualification in Law (LLB) or MBA (Finance/Legal) - Preferred

Experience:

- Minimum 15+ years of relevant experience in manufacturing, automotive, or diversified industrial sectors

- Experience working in multi-plant, multi-entity setups with exposure to global compliance environments

- Proven ability to manage Board-level interactions, audits, and complex filings

Skills & Competencies:

- Deep understanding of Companies Act, FEMA, SEBI (if applicable), GST, and Labour Laws

- Strong grasp of corporate governance frameworks

- Excellent drafting, communication, and stakeholder management skills

- Ability to lead cross-functional teams and influence senior leadership

- Ethical, detail-oriented, and organized
