Manager - Legal & Secretarial
Shiv Nadar Foundation is looking for Manager - Legal & Secretarial-India Chip for Noida location.
Qualification: LL.B & CS
Location: Noida

Responsibilities:
Commercial & Contracts:
- Negotiate and draft contracts with OEMs, vendors, companies, and global customers (Service Agreement, Tender Documents, LOI, Lease Deeds, Supply Agreements, NDAs, MSAs etc).
- Manage vendor/supplier contracts including equipment procurement, EPC agreements, construction agreement, logistics, and SLAs etc.
- Oversee dispute resolution, arbitration, and litigation management.
Intellectual Property:
- Safeguard IP rights
- Draft and enforce IP licensing, trade secret protection, and confidentiality frameworks.
- Manage patent filings, trademark registrations, and IP-related disputes in India and internationally.
Regulatory & Compliance:
- Oversee compliance with Indias semiconductor Mission scheme, environmental clearances, SEZ/export regulations, and labor laws.
- Ensure timely filings & compliance of applicable corporate, employment, and industrial regulations.
- Liaise with central/state regulators, and government agencies (ISM, MeiTy, Yeida, Invest UP) for permits, subsidies, and compliance.
- Establish strong compliance frameworks covering HSE (health, safety, environment), anti bribery, and anti-corruption.
- Compliance with FDI/ECB regulations and export control laws.
- Ensure insurance, liability management, and risk mitigation across operations.
Secretarial:
- Ensure end-to-end compliance under the Companies Act, 2013, Secretarial Standards
- Prepare, draft, and finalize Board, Committee, and General Meeting notices, agendas, and minutes in a timely and accurate manner.
- Maintain statutory registers, secretarial records, and compliance documentation as per regulatory requirements.
- Ensure timely and accurate filing of forms and returns with ROC, stock exchanges, and other regulatory bodies.
- Respond promptly to internal and statutory audit queries related to secretarial matters.
- Handle compliance tools/platforms for monitoring and managing statutory obligations.
- Drafting and vetting of various corporate documents including policies, resolutions, and compliance reports.
- Coordinate with various departments for data/information required implementation of and compliance of internal policies, committee charters, and corporate governance documentation.
- Strong knowledge of corporate laws, governance norms and secretarial standards.
- Proficient in drafting minutes, regulatory filings, and legal correspondence.
- Hands-on experience in ROC filings, compliance management tools, and regulatory disclosures.
- Excellent communication, coordination, and stakeholder management skills.
- Detail-oriented, with a strong ethical foundation and commitment to compliance and governance.
- Experience in working with cross-functional teams and supporting in compliance-related matters.
