Job Summary:

We are looking for a qualified CS / LLB professional to support the organization in corporate secretarial matters, legal documentation, statutory compliance, and day-to-day legal requirements. The ideal candidate should have a good understanding of Companies Act, corporate governance, contracts, and regulatory compliance.

Key Responsibilities:

1. Company Secretarial & Corporate Compliance:

- Ensure timely compliance with the Companies Act, 2013 and applicable corporate laws.

- Maintain and update statutory registers, records, minutes books, and other secretarial documents.

- Prepare and maintain documentation for Board Meetings, General Meetings, resolutions, notices, agendas, and minutes.

- Coordinate and ensure timely completion of ROC/MCA filings and other statutory filings.

- Assist in preparation and filing of annual returns and other applicable forms with the Registrar of Companies.

- Maintain records of directors, shareholders, shareholding patterns, statutory registers, and corporate documents.

- Coordinate with external Company Secretaries, consultants, auditors, and other professionals for statutory compliances.

- Monitor changes in corporate laws and regulatory requirements and ensure necessary action is taken.

- Assist in maintaining proper documentation for corporate actions, agreements, resolutions, and other secretarial matters.

- Ensure that all statutory and secretarial compliances are tracked and completed within the prescribed timelines.

2. Employee & Labour-Related Legal Matters:

- Handle and coordinate legal cases, complaints, notices, and disputes raised by current or former employees against the company.

- Coordinate with external lawyers and legal consultants for employee-related legal matters.

- Review and understand legal notices received from employees, advocates, labour authorities, and other government bodies.

- Prepare and provide relevant employee records, documents, policies, and other information required by external counsel.

- Coordinate responses to legal notices, employee complaints, labour department notices, and other legal communications.

- Maintain a tracker of all ongoing employee-related legal cases, notices, hearings, and proceedings.

- Coordinate with HR and external legal counsel regarding employee disputes, disciplinary matters, termination-related issues, and grievances.

- Assist in proceedings before Labour Department, Conciliation Officers, Labour Courts, Tribunals, and other relevant authorities, wherever applicable.

- Ensure timely follow-up on hearings, submissions, documentation, and other legal requirements.

- Maintain complete and confidential records of all employee-related legal matters until closure.

3. HR & Employment Legal Support:

- Review employment-related documents, policies, disciplinary notices, warning letters, termination documents, and other HR documentation from a legal perspective.

- Support HR in handling sensitive employee matters and disputes.

- Advise internal stakeholders on basic legal requirements relating to employee grievances, disciplinary actions, exits, and employment matters.

- Assist in ensuring compliance with applicable labour and employment laws.

- Conduct basic legal research on employment and labour-related matters as required.

4. General Legal Support:

- Draft, review, and maintain legal notices, undertakings, declarations, agreements, and other legal documents.

- Coordinate with external legal counsel on various company legal matters.

- Maintain proper records of legal notices, cases, agreements, and other legal documentation.

- Identify potential legal risks and escalate them to management/external counsel.

- Support the organization on other legal and compliance matters as required.

Qualification:

- LLB is mandatory.

- Company Secretary (CS) qualification is preferred.

- CS Executive / CS Professional candidates with an LLB may also be considered.

- Strong knowledge of the Companies Act, corporate compliance, and labour/employment laws.

Experience:

- 2-6 years of relevant experience in legal, corporate secretarial, compliance, or in-house legal functions.

- Experience in a corporate/in-house legal environment will be preferred.

Required Skills:

- Strong drafting and contract review skills.

- Good understanding of corporate and commercial laws.

- Knowledge of MCA/ROC compliances and corporate secretarial processes.

- Strong attention to detail and documentation skills.

- Good communication and coordination skills.

- Ability to independently track multiple compliance and legal matters.

- Proficiency in MS Office, particularly Word and Excel.

Preferred Profile:

- CS + LLB combination preferred.

- Prior experience handling corporate compliances, contracts, legal documentation, and regulatory matters.

- Candidates from a corporate/in-house legal team or reputed law firm will be preferred.
