Deputy General Manager/General Manager - CS/Legal- Compliance & Contracts - Renewable Energy

Job Description :

- Lead all Secretarial and Corporate Governance activities in compliance with the Companies Act, SEBI Regulations, and other applicable laws.

- Manage Board Meetings, Committee Meetings, AGM/EGM, preparation of agendas, minutes, resolutions, and statutory filings.

- Drive IPO readiness initiatives, including coordination with merchant bankers, legal advisors, auditors, registrars, stock exchanges, and regulatory authorities.

- Ensure compliance with SEBI Listing Regulations, Secretarial Standards, FEMA, and other corporate governance requirements.

- Draft, review, negotiate, and manage EPC contracts, PPAs, BESS supply agreements, land agreements, NDAs, vendor contracts, and commercial agreements.

- Provide legal support for Greenfield Solar, Wind, Hybrid, and BESS projects, including land acquisition, statutory approvals, regulatory matters, and project documentation.

- Identify legal and compliance risks across projects and business operations and recommend mitigation strategies.

- Manage litigation, arbitration, legal notices, claims, disputes, and liaison with external counsels and regulatory authorities.

- Ensure maintenance of statutory records, licenses, corporate filings, and compliance management systems across all SPVs and group entities.

- Support strategic initiatives including mergers, acquisitions, joint ventures, fundraising, due diligence exercises, and investor relations activities.
