Asstt. Mgr / Deputy Mgr Company Secretary & Legal Officer
Key Responsibilities:
- Ensure compliance with statutory and regulatory requirements under the Companies Act, 2013 and related corporate laws
- Manage Board and Committee meetings including drafting of notices, agendas, resolutions, and minutes
- Handle ROC filings, annual returns, XBRL filings, and other MCA-related compliance
- Oversee SEBI compliance (LODR, Insider Trading, SAST) for listed entity matters
- Maintain statutory registers and ensure proper secretarial documentation
- Liaise with government departments, legal advisors, auditors, and regulatory authorities
- Support internal teams on corporate actions including mergers, restructuring, and acquisitions
- Conduct risk assessments and support internal audits on governance and secretarial matters
- Provide advisory support to directors and senior management on legal and compliance updates
Desired Candidate Profile:
- Qualified Company Secretary (CS) from ICSI
- 5 to 10 years of relevant experience in a listed or large private limited company
- Thorough knowledge of Companies Act, SEBI regulations, FEMA, and other applicable corporate laws
- Excellent drafting, communication, and presentation skills
- Proficient in MS Office and secretarial compliance software/tools
- Ability to maintain confidentiality and manage senior stakeholder communications
Preferred Attributes:
- Prior experience with listed company compliance
- LLB qualification
- Familiarity with digital board management software (e.g., Diligent, BoardVantage)
