Compliance Officer - Infrastructure Investment Trust - CS

About the Role:

Seeking an experienced Compliance Officer to oversee regulatory compliance for a leading Infrastructure Investment Trust (InvIT).

The role will be responsible for ensuring adherence to SEBI regulations, Companies Act requirements, stock exchange compliances, corporate governance standards, and secretarial functions while working closely with senior management, trustees, regulators, and external advisors.

This role offers an opportunity to work at the intersection of infrastructure investments, capital markets, and corporate governance, playing a critical role in ensuring regulatory excellence for a leading InvIT platform.

Key Responsibilities:

- Qualified Company Secretary (ICSI) is mandatory.

- Act as the designated Compliance Officer for the InvIT and its Investment Manager.

- Manage all statutory and regulatory filings with SEBI, stock exchanges, Registrar of Companies (ROC), depositories, and other regulatory authorities.

- Prepare and review agenda papers, minutes, resolutions, and documentation for Board, Committee, and Unit Holder meetings.

- Ensure timely disclosures, periodic filings, corporate announcements, and event-based reporting.

- Monitor changes in regulatory requirements and advise management on compliance implications.

- Implement and oversee compliance policies, governance frameworks, and internal controls.

- Support fundraising activities, debt issuances, acquisitions, restructuring transactions, and other strategic initiatives from a compliance perspective.

- Prior experience with InvITs, REITs, listed entities, asset management companies, infrastructure companies, or regulated financial institutions will be preferred.

- Excellent drafting, stakeholder management, and communication skills.

- Ability to manage multiple regulatory timelines in a dynamic environment.
