Position: Company Secretary @ Hyderabad
We are partnering with a leading client in their search for a seasoned Company Secretary to join their leadership team. This is a confidential mandate, suited for a professional who thrives in a dynamic, fast-paced, and regulated business environment.
The ideal candidate will bring deep expertise in corporate governance, regulatory compliance, board support, and stakeholder managementwith significant exposure to both domestic and cross-border corporate actions. This role combines compliance leadership with hands-on execution and requires close collaboration with senior management and external stakeholders.
Key Areas of Responsibility:
- Ensure full compliance with corporate, statutory, and listing regulations in line with evolving governance standards.
- Organise and manage Board, Committee, and Shareholder meetings (including AGMs/EGMs), ensuring accurate preparation of agendas, notices, minutes, disclosures, and statutory filings.
- Lead and coordinate Secretarial Audits and ensure timely submissions to regulators.
- Oversee documentation and compliance for corporate actions (including mergers, acquisitions, divestments, and cross-border transactions).
- Stay updated on regulatory developments across multiple jurisdictions and brief stakeholders on relevant changes.
- Draft and review contracts/agreements, and liaise with legal counsel on statutory and compliance matters.
- Implement systems for effective record-keeping, document retrieval, and governance
reporting.
- Collaborate with senior leadership and external stakeholders to uphold the highest standards of corporate conduct.
Ideal Profile:
- Qualified Company Secretary (ICSI) with 10+ years experience; an additional legal qualification is desirable
- Proven track record in listed companies and in handling regulatory compliances for cross-border transactions
- Strong knowledge of corporate governance frameworks, regulatory filings, and statutory compliance
- Excellent drafting, communication, and stakeholder engagement skills
- Meticulous, detail-oriented, and managing tight timelines.
- Discreet and professional in handling sensitive information
- Strong people management and coordination capabilities
