Role Overview
The Head Legal & Company Secretary will lead the legal and corporate governance charter of CMS IT Services, anchoring statutory compliance, contract governance, corporate secretarial functions, and risk mitigation across the enterprise. This is a key leadership role that interfaces with the Board, investors, CXOs, customers, and regulatory bodies.
You will be responsible for institutionalizing a robust legal and governance framework aligned with CMS 2.0s scale and aspirations.
Key Responsibilities
Legal & Contract Management
- Draft, review, and negotiate a wide range of commercial agreements including MSAs, NDAs, SLAs, partner contracts, licensing, procurement, and employment contracts.
- Provide legal advice on business operations, new service models, liabilities, and regulatory exposure.
- Represent the company in external legal matters including arbitration, litigation, and regulatory inquiries, working with external counsel.
- Oversee compliance with IT Act, Labour Codes, DPDPA, IPR, Contract Act, Companies Act, and related statutes.
Corporate Secretarial Function
- Manage Board and Shareholder meetings, prepare minutes, resolutions, filings, and ROC compliance under Companies Act 2013.
- Ensure adherence to Secretarial Standards, maintain statutory registers, and manage company law disclosures and filings (MGT, AOC, DIR forms etc.)
- Coordinate investor communications and support due diligence processes for fundraising, restructuring, or M&A activities.
Compliance & Governance
- Establish and monitor internal compliance programs covering CLRA, Shops & Establishment, EPF, ESI, POSH, and DPDPA.
- Liaise with external legal advisors, auditors, regulators, and government authorities on all statutory matters.
- Support policy formulation in areas such as ethics, whistleblowing, disciplinary actions, vendor governance, and insider trading (if applicable).
Stakeholder Engagement
- Work closely with CEO, CFO, CHRO, and Delivery/Sales Heads to balance commercial agility with risk management.
- Educate business leaders on contract and legal risks and guide deal-making from a compliance-first lens.
Ideal Candidate Profile
- Qualified Company Secretary (ACS); LLB or LLM mandatory.
- 1015 years of relevant experience in IT services, digital/tech-enabled, or similar B2B regulated industries.
- Strong track record of handling commercial contracts, corporate governance, secretarial compliance, and regulatory affairs.
- Experience engaging with promoters, institutional investors, and regulators.
- Excellent drafting, negotiation, and stakeholder management skills.
- High attention to detail, ability to balance legal risks with business imperatives.
- Exposure to high-growth or PE-backed environments will be preferred.
