Associate Manager - Company Secretary & Legal

Responsible for ensuring legal and regulatory compliance for the company, particularly concerning corporate governance and legal matter. Advise the board, manage meetings, maintain records, and handle legal affairs, including contracts and litigation.

Key Responsibilities:

- Ensuring the company adheres to all relevant statutory and regulatory requirements, including company law, SEBI regulations (if applicable), and other relevant laws.

- Organizing and managing board and committee meetings, preparing agendas, drafting minutes, and maintaining statutory books and registers.

- Handling legal documents, contracts, and correspondence with regulatory authorities and external legal counsel.

- Identifying and mitigating legal risks, including those related to contracts, litigation, and regulatory compliance.

- Facilitating communication between the board, management, shareholders, and regulatory bodies.

- Maintaining accurate and up-to-date records of all company secretarial and legal matters.

- Conducting legal research, staying updated on relevant laws and regulations, and providing legal advice to the board and management.

- Overseeing litigation matters and coordinating with external legal counsel.

- Providing legal support in mergers, acquisitions, and other corporate restructuring activities.

Qualification And Experience:

1. Company Secretary & LLB with 10+ Years of Experience in a similar role, particularly in corporate governance, legal compliance, and contract management with a Listed Entity. Age not more than 35.

2. Strong understanding of corporate law, regulatory frameworks, and legal principles.

3. Excellent communication, interpersonal, organizational, and problem-solving skills are essential.

4. Ability to handle confidential and sensitive information with accuracy and discretion.

5. Familiarity with compliance management software and other relevant tools (optional).
