Description: About the Role: We are hiring an experienced Legal Counsel / Manager for a temporary back-fill assignment within our India Legal Team. The role involves drafting, reviewing, and negotiating complex commercial and technology contracts (Cloud, SaaS, IaaS, Software Licensing, Outsourcing, Consulting, Data Processing, etc.), and advising on global regulatory frameworks. You will work closely with stakeholders across APAC, UK, EU, and North America, providing agile, business-aligned legal support in a fast-paced, global environment. Key Responsibilities: - Draft, review, and negotiate commercial contracts, including Cloud Outsourcing, SaaS, IaaS, Licensing, Consulting, Facilities, Staff Augmentation. - Advise on regulatory frameworks (DORA, ESMA, EBA, MAS, PRA) in relation to technology and outsourcing contracts. - Provide legal support for onboarding third-party AI and GenAI solutions. - Support procurement teams on RFPs, vendor engagements, and disputes. - Collaborate with cross-border teams on complex legal issues and contract negotiations. - Contribute to knowledge sharing, process improvements, and adoption of legal tech. Key Skills & Requirements: - LLB with 9-12 years PQE, preferably in-house within MNCs (Financial Services, Asset Management, IT). - Strong experience in commercial & technology contracts (Cloud, SaaS, IaaS, PaaS, Outsourcing, Licensing). - Working knowledge of global outsourcing regulations. - Familiarity with AI, GenAI, Data Processing, Platform Integration. - Excellent drafting, negotiation, and communication skills. - High ethical standards, strong commercial judgment, and business acumen. - Experience with contract management systems, e-signature platforms, legal tech is a plus.

Counselor/Manager - Legal - IT/BFSI - LLB 

Title: Vessel Financial Controller Overall, Purpose of The Job To ensure a strong relationship with the Client, provide all the necessary financial information that they require and to take responsibility for the accuracy, completeness and timeliness of the information. To ensure that there are strong relationships between the local management office and the accounting hub. This will involve ensuring that all parties receive the necessary information required in an efficient and timely manner. Key Responsibilities - Prepare/deliver/review of timely and accurate management accounts & financial statements - Identify opportunities with operations for revenue and cost optimization and prevent revenue leakages - Report Operational and Finance metrics for driving overall efficiency in the business - Prepare/deliver/review and present the consolidation and month end reporting of core Financial Statements - P&L, Balance Sheet and Cashflow with commentaries - Prepare and present financial decks for the respective Fleets - Effective cash management and approve payments - Balance sheet scrutiny for alt open items at month end reflected under balance sheet. To ensure that amounts open are not more than 3 months & a detailed follows up done for all such open items. - Ensure that the financial information provided to the Client is representative of the vessels activities and trading. - Ensure that the fund requests are prepared on the basis of the known liabilities falling due within the period to the next scheduled fund request so that all the commitments can be paid within the agreed terms. In addition, ensure that the Clients are fully aware of the complete funding position of the vessels (including accruals) on a regular basis. - Ensure that all Client records under supervision are maintained in accordance with the established accounting policies and procedures including the regular review of general ledgers. - To Ensure monthly funding is requested from owners in a timely manner as per approved annual budget. Also cash requests for all out of budget expenses need to be requested as & when incurred. - Liaising with vessel owners & providing requested documentation & clarification on monthly reports & ledger scrutiny as & when requested. - Build the relationship with the Client to ensure that all necessary management information required is provided in a timely, accurate and meaningful manner and that the Client is completely satisfied with the financial information. - (Stakeholder Management) Is the person working for international entities - Build relationships with in-house departments to ensure that the financial information flow between the ship management cells and the accounting hub is organised efficiently. Skills, Qualification and Experience Essentials - Ideally the person would be a passed finalist at ACCA/CIMA or be qualified through experience with a proven academic track record. It is expected the successful candidate would have a minimum 5 years working experience. Other Responsibilities - Provide support and assistance to the accounting Hub to ensure that they are fully aware of the Clients and inhouse management team's expectations. - Implementing authorised internal controls and ensuring compliance with all Group policies and procedures. - Commitments ensure that costs incurred by the fleet management cell personnel are recorded in the accounting system by the appropriate person when the costs are incurred. - Financial reporting to Clients review of all accounting reports prior to the distribution to the Clients. - Variance reporting including quarterly forecasts assisting the fleet management cell personnel in the preparation of the reports and reviewing the final version with the Fleet Manager prior to submitting it to the Client. - Fleet Liability Reporting review / comment on the report prepared by the Hub, prior to submitting it to the Divisional Vessel Accounts Controller within the agreed timescales - Monitoring the age of the outstanding invoices, particularly for Group companies and contracted suppliers (eg MARCAS), and highlight any potential failure to the agreed payment terms to the Fleet Manager, Managing Director and the Divisional Vessel Accounts Controller. - Lesioning with the Clients' auditors. - Keeping the Fleet Manager informed of any issues or matters that may result in either the Client or in-house departments having cause for concern. - Monitoring of working practices and suggesting how efficiencies can be introduced to the processes involved in producing the vessel accounts. - Assisting the Entity Chief Accountant, Divisional Vessel Financial Controller or Divisional Financial Officer with any other duties that may be necessary. - Co-ordinate within in-house departments to ensure invoices are processed & approved so payments can be done within due dates. - Sending out monthly & quarterly deadlines internally & to vessels to ensure reports are sent out to vessel owners as per set deadlines. - Preparing budget follow up reports internally to be presented within inter-departments & group as required (Month BFU Report). - Ensuring bank details updated in system for suppliers & agents are valid & any changes identified within system details & invoices/email received from suppliers are checked thoroughly prior settling final invoices/disbursements. - Ensuring Cash to Master & Agency advance are arranged well in advance to vessel Master & port agents respectively to avoid any delay to vessel from sailing. - Ensure proper follow up is done with insurance clubs for open claims submitted related to vessel hull damage & crew P&l cases if any occur during a financial year. - Briefing of Master & Ch. Engineer visiting office on route prior joining the vessel & explaining in detail to them the process & procedures of maintaining accounts on board vessel & all other accounting functions.
