Key Responsibilities:

1. Regulatory & Statutory Compliance:

- Accountable for all compliance obligations of an RBI-regulated NBFC - RBI Master Directions, NBFC-SBR Scale-Based Regulations, KYC/AML, IRDAI, and Companies Act.

- Ensure full compliance with Digital Lending Guidelines - vetting and finalization of LSP agreements.

- Conduct regulatory impact analysis of new/amended RBI circulars; advise MD, Board, and senior management on implications across lending, co-lending, securitization, and treasury.

- Oversee all statutory filings with RBI, RoC, FIU-IND, and IRDAI within prescribed timelines.

2. Policy, SOP & Compliance Framework:

- Own the enterprise-wide compliance framework.

- Lead policy transformation in partnership with external advisors; align all policies and SOPs with RBI Scale-Based Regulations.

- Central coordination for vetting and Board approval of all policies, SOPs and processes.

- Review and sign off on new lending products and initiatives.

3. Legal Strategy, Contracts & Transactions:

- Lead legal strategy for funding transactions - NCD issuances, securitization, and co-lending - ensuring alignment with RBI and Companies Act.

- Review and finalise contracts: NDAs, vendor/outsourcing agreements, SaaS and technology contracts.

- Oversee secretarial compliance - Board governance, minutes, annual filings, and RoC submissions.

4. Compliance Monitoring & Internal Audit:

- Design and implement compliance testing and monitoring across all functions.

- Own and administer compliance technology platforms; review and institutionalize trackers for Board and leadership reporting.

- Track and ensure timely closure of internal audit observations.

5. Ombudsman, FIU-IND & Grievance Management:

- Oversee all RBI Integrated Ombudsman complaints; coordinate investigation and resolution within prescribed timelines.

- Serve as Compliance Officer under PMLA; own FIU-IND obligations including STR/CTR filings.

- Analyze complaints and audit trends to identify systemic gaps and drive process improvements.

6. Board Governance & Stakeholder Management:

- Deliver structured compliance reports, regulatory watch updates to the Board, Audit Committee, MD, and PE investors.

- Partner with Independent Directors, PE investors, and Statutory Auditors to maintain governance transparency.

- Provide real-time regulatory inputs to Risk, Operations, Product, Technology, Treasury, and HR teams.

7. Training & Culture:

- Drive organization-wide training on RBI guidelines, KYC, digital lending norms.

- Foster a compliance-first culture across all verticals.

Ideal Candidate Profile:

Qualifications:

- Company Secretary (CS) from ICSI.

- LLB is preferred.

Experience:

- 8+ years in Compliance in a RBI-regulated NBFC.

- Hands-on experience in liason with RBI.

- Experience with NBFC-SBR Scale-Based Regulations, Digital Lending Guidelines, and PMLA/AML compliance.

- Experience working with PE investors, Independent Directors, and Board-level governance.

Skills:

- Deep knowledge of RBI Master Directions, NBFC-SBR, FEMA, PMLA, and Companies Act; IRDAI/SEBI knowledge is a plus.

- Comfortable engaging with regulators, board members, investors, auditors, and cross-functional teams.

- Ownership with ability to build teams, systems, and culture in a fast-scaling environment.
