Job Title: Senior Manager - Legal & Compliance

Location: Gurugram, Haryana

Professional Experience:

- Approx 10 years or more

- Experience in law firms, independent legal practice, corporate legal departments or Army's JAG Branch (with relevant corporate experience) are strongly encouraged to apply.

Educational Qualifications:

- LLB (from one of the NLUs) - Essential.

- LLM - Preferred.

- CS - Preferred.

Role Overview:

The Senior Manager - Legal & Compliance will lead the company's legal, regulatory, statutory and compliance functions, ensuring risk mitigation and adherence to statutory obligations across all business verticals. The role requires strong expertise in contract management, legal advisory, statutory compliance, and M&A-related support. This position is ideally suited for professionals with a background in law firms, independent legal practice, or as veterans from the JAG Branch of the Armed Forces.

Key Responsibilities including but not limited to:

1. Legal Advisory & Documentation

- Provide legal counsel on operational, contractual, and regulatory matters.

- Draft, review, and vet contracts, MoUs, NDAs, service agreements, and lease deeds.

- Manage legal notices, correspondence, and documentation.

2. Statutory & Regulatory Compliance

- Ensure adherence to all corporate, commercial, labor and employment laws.

- Oversee statutory filings under the Companies Act, 2013, and other applicable regulations.

- Coordinate with external auditors, consultants, and authorities for inspections and submissions.

3. Contract Management

- Implement and maintain an effective contract lifecycle management system.

- Conduct legal risk assessments prior to finalization of agreements.

- Support HR, Finance, Operations, and BD teams in contractual due diligence.

4. Legal Coordination & Dispute Resolution

- Liaise with external counsels, consultants, and law firms for litigation and arbitration matters.

- Prepare briefs, track case progress, and maintain a legal MIS for management updates.

5. Mergers, Acquisitions & Strategic Transactions

- Assist in due diligence, documentation, and post-transaction compliance for M&A and corporate restructuring.

- Review agreements and coordinate with stakeholders for regulatory approvals and submissions.
