Key Responsibilities

- Manage all company secretarial functions, including convening board, committee, and shareholder meetings, drafting agendas, resolutions, and minutes.

- Custodian for all Policies and modifications custodian, Monitor compliance calendar for all finance and business compliances, Custodian for all signed Contracts.

- Maintain statutory registers, records, and filings under the Companies Act, 2013 and applicable secretarial standards.

- File ROC forms, annual returns, and manage compliance for subsidiaries and group entities.

- Support RBI, IFSCA, SEZ, and NBFC-related compliance including license documentation, AML, KYC, and CFT frameworks.

- Draft, vet, and review commercial contracts, agreements, deeds, and legal notices; liaise with advocates and counsels for legal proceedings.

- Advise management on corporate governance, legal risks, and compliance matters impacting the business.

- Prepare, review, and file documents for corporate actions such as shifting of registered office, change of name, increase in authorized capital, buy-back, and issue/redemption of shares.

- Handle due diligence, intellectual property protection, and regulatory queries.

- Circulate legal and compliance updates, frameworks, and policies to ensure organizational awareness and adherence.

- Ensure robust governance standards and act as a liaison with regulators (ROC, RBI, IFSCA, SEZ, etc.

Key Requirements

Education:

- Company Secretary (ICSI Professional Level).

- Bachelor's Degree (Any).

Experience:

- Minimum 6-10 years of experience in Company Secretarial functions, corporate governance, and compliance management.

- Hands-on experience in managing statutory filings, board processes, and corporate law advisory.
