
Job Description:
Vice President - Transaction Services & Contract Negotiation
Purpose of the Role:
To oversee and manage transactional processes, ensuring compliance with legal and regulatory requirements, and maintaining accurate documentation for financial transactions.
Accountabilities:
- Ensure that Transaction Services and Documentation activities comply with applicable laws and regulations, helping to manage legal and reputational risks.
- Coordinate with internal and external stakeholders, including legal counsel, credit risk management, and other departments, to ensure timely and efficient transaction execution.
- Create, review, negotiate, and manage legal documents such as loan agreements, security documents, and other transactional documents to ensure prompt execution.
- Provide transaction support, including the preparation of transaction summaries, conducting due diligence, and supporting other departments as needed.
- Develop and implement transaction processes and procedures to ensure consistency in execution.
- Proactively identify, communicate, and provide legal advice on applicable laws, rules, and regulations. Monitor changes to rules in the relevant coverage area and ensure they are effectively allocated to and reflected within relevant policies, standards, and controls.

Role Specifics:
- This role is part of the largest team within the Legal department, focused on drafting, negotiating, and executing master and collateral agreements and ancillary documentation (e.g., ISDAs, GMRAs, GMSLAs, Futures Agreements) for the global Markets client-facing franchise. You will conduct diligence, negotiate directly with clients, and engage extensively with internal stakeholders such as credit risk, sales and trading, collateral management, treasury, tax, and client onboarding.
Candidate Requirements:
- A Bachelor's or Master's Degree in Law.
- Expertise in the negotiation of financial markets contracts such as ISDA Master Agreements (including IM and VM credit support annexes), GMRA, MRA, GMSLA, MSFTA, FXPB, and the Equities Prime Brokerage suite.
- A strong grasp of industry netting & collateral opinions, regulatory requirements, and jurisdictional nuances (e.g., IM/VM requirements under various regulatory regimes).
- The ability to expertly manage a negotiations portfolio, support team members in managing client negotiations, perform supervisory checks, and highlight gaps in approvals, drafting, processes, or systems.
- The ability to assess documentation templates, current processes, systems, or approvals and provide workable solutions/alternatives to stakeholders or within the team.
- Experience in managing projects within a clearly defined framework with an emphasis on strong commercial management alongside quality and timely legal deliverables.
- Strong leadership, communication, time management, and organizational skills with a risk & controls mindset.
