Key Responsibilities: 1. Legal Strategy & Regulatory Compliance - Develop and implement legal frameworks, risk mitigation strategies, and compliance policies aligned with the company's business objectives. - Ensure full compliance with RERA, SEBI, FEMA, RBI, Companies Act, Income Tax Act, and local real estate regulations. - Manage regulatory approvals and liaise with urban development bodies, municipal corporations, and industry regulators for project clearances. - Conduct legal risk assessments, audits, and governance reviews to maintain statutory compliance across Residential, Commercial, Retail, and Hospitality verticals. 2. Real Estate Transactions & Due Diligence - Oversee legal due diligence for land acquisitions, mergers, joint ventures, and property investments across multiple asset classes. - Ensure clear land titles and compliance with zoning regulations. - Handle approvals for land conversion, change of land use (CLU), and tax compliance. - Provide legal support for township projects, mixed-use developments, Special Economic Zones (SEZs), and commercial leasing. - Structure and negotiate land purchase agreements, joint development agreements (JDA), and leasehold transactions. 3. Litigation & Dispute Resolution - Lead & address the litigations arising out of disputes related to property, contracts, taxation, regulatory non-compliance, and tenant agreements. - Represent the company in civil, commercial, arbitration, and regulatory proceedings, including NCLT, consumer forums, RERA appellate tribunals, and other inquiries. - Collaborate with senior counsel, external law firms, and regulatory authorities to resolve high-value disputes efficiently. - Develop alternative dispute resolution (ADR) mechanisms to proactively settle conflicts. 4. Contract Management & Legal Documentation - Draft, review, and negotiate complex real estate agreements across Residential, Commercial, Retail, and Hospitality sectors, including: - Joint Development Agreements (JDA) & Joint Venture Agreements (JVA) - Sale Deeds, Conveyance Deeds, and Lease Agreements - Construction, Vendor & Contractor Agreements - Memorandums of Understanding (MoU) & Licensing Agreements - Mortgage Deeds, Loan Documentation, and Escrow Agreements - Marketing, Brokerage & Franchise Agreements - Facilities Management & Service Level Agreements (SLA) - Establish contract review mechanisms to protect business interests and minimize risks. 5. Risk Management & Corporate Governance - Develop legal risk mitigation frameworks to protect the company's assets and brand reputation. - Ensure adherence to corporate governance best practices under the Companies Act and SEBI regulations. - Conduct compliance training programs for internal stakeholders across business verticals. - Advise the Board of Directors and Executive Leadership on legal risks, governance policies, and regulatory matters. 6. Stakeholder & External Counsel Management - Support the Business Development team in structuring joint ventures, investor agreements, and large-scale real estate deals. Collaborate with the Liaison team to obtain necessary government approvals and regulatory clearances. Partner with the Design and Project teams to ensure project execution aligns with legal and regulatory guidelines. - Engage with government bodies, regulatory agencies, and industry associations to advocate for favourable policies. - Manage external legal engagements with senior advocates, law firms, and arbitration panels. - Act as the legal representative in corporate negotiations, regulatory discussions, and industry forums. 7. Team Management & Development - Lead, mentor, and develop a high-performing legal team to support the companys growth and compliance requirements. - Define KPIs, performance evaluation metrics, and training programs for legal team members. - Promote a culture of continuous learning, legal excellence, and proactive risk management. - Ensure knowledge-sharing within the team regarding new legal updates, real estate regulations, and corporate governance. Qualifications & Experience: Education: - LLB (Bachelor of Law) or LLM (Master of Law) in Corporate Law / Real Estate Law is preferred. - Certifications in Arbitration, Risk Management, or Corporate Governance are a plus. Experience: - 8+ years of legal experience, with at least 5+ years in a leadership role. - Proven expertise in real estate law, land acquisition, litigation, and regulatory compliance. Skills & Competencies: - Deep expertise in real estate laws, contract law, corporate governance, and dispute resolution. - Exceptional negotiation, leadership, and stakeholder management skills. - Strong collaborative mindset with the ability to work effectively with Top Management, Business Development, Liaison, and Design teams. - Ability to handle complex legal cases, government liaisons, and high-value transactions. - Strong analytical mindset, problem-solving ability, and strategic thinking. - Ability to mentor and develop a strong legal team while fostering a culture of legal excellence.
