Title: Vice President - Legal Job Description: Reporting: President - Legal & Secretarial Purpose of the Role: - This role is responsible for overseeing all legal aspects of the company, providing strategic legal advice to senior management, ensuring compliance with Indian laws and regulations, managing litigation, and leading a team of legal professionals, requiring a strong understanding of corporate law, contract drafting, regulatory compliance, and experience in managing complex legal issues within the Indian legal landscape. - Responsible for developing, reviewing, approving, executing and monitoring the overall strategic, tactical and operational planning for the Legal Group with critical focus upon defending, protecting and perpetuating the interest of the organization and minimizing legal risks for the company. Role & Responsibilities: Legal Counsel and Advice: - Provide timely and accurate legal advice to senior management on a wide range of legal matters including contracts, corporate governance, employment law, intellectual property, regulatory compliance, and litigation. - Identify potential legal risks and develop mitigation strategies to protect the company's interests. - Conduct legal research and analysis to stay updated on relevant legal developments. Contract Management: - Draft, review, and negotiate complex commercial contracts, including vendor agreements, partnership agreements, and service contracts. - Ensure contracts comply with applicable laws and company policies. Compliance Management: - Develop and implement comprehensive compliance programs to ensure adherence to relevant Indian laws and regulations - Monitor compliance activities and conduct regular compliance reviews Litigation Management: - Oversee all litigation matters, including pre-litigation dispute resolution, representing the company in court, and working with external counsel - Assess potential legal risks and develop litigation strategies Team Leadership: - Lead and mentor a team of legal professionals, including junior lawyers and paralegals - Develop and manage the legal department budget and resources Corporate Governance: - Advise on corporate governance matters, including board meetings, shareholder agreements, and regulatory filings - Ensure compliance with corporate secretarial practices Oversee External Counsel: - Lead in-house attorneys and manage engagement with external attorneys - Oversee the retention of work of external counsel and consultants, review and approves external counsel and consultant billings and cost. - Regularly evaluates the performance of outside counsel and seeks the most cost effective and efficient delivery of quality legal services through a combination of in house and outside resources. Qualifications & Skills - Bachelors degree in law (LLB) from a recognized Indian university - Masters degree in law (LLM) or relevant specialization is preferred - Minimum 20 years of experience in corporate law practice, preferably with experience in house at a large company - Proven track record of managing complex legal matters and providing strategic legal advice - Strong analytical, problem solving and critical thinking skills, with the ability to interpret and provide actionable insights - Excellent legal drafting and negotiation skills - Excellent communication and people skills, with the ability to interact effectively with stakeholders at all levels - Deep understanding of Indian corporate law, contract law, regulatory compliance, and litigation procedures - Excellent communication and interpersonal skills to interact with senior management and external stakeholders - Ability to work independently and as part of a team - Awareness and understanding of functional requirement of the role in the context of businesses of the organisation and that of peers in the industry - Proven ability to identify, investigate, assess, monitor, control and mitigate risks - Awareness and understanding of the regulatory framework in which the firm operates, and the regulatory requirements and expectations relevant to the role - Elevated level of integrity, ethics, and professionalism, with a commitment to upholding company values and standards - Demonstrated capability to investigate matters pertaining to the role - Ability to influence, negotiate and drive organisation agenda with external legal counsels - Demonstrated ability to thrive in a fast-paced, dynamic environment, with a focus on driving results and continuous improvement - Demonstrated experience in interacting a multi-location and multi-lingual workforce - Proven experience in managing the Board and Corporate management team - A highly strategic leader with a strong focus on creating value for stakeholders - Strong leadership, coaching, development and change management skills - High levels of drive, energy, and resilience Key Relationships: Internal: - Business Leaders/Audit Committee / Execom - Business Managers / Stakeholders - Team members/colleagues - Sales Team colleagues - Consultants - Security Consultant External: - Clients - Suppliers / Vendors - Consultants - Lawyers - Professional networks
