Vice President Finance (Capital Markets, IPO Readiness & Fund Raising)

1. Position Details:

Position Title: Vice President Finance (IPO & Fund Raising)

Function: Group Finance Corporate Finance & Capital Markets

Reports To: Group Chief Financial Officer

2. Purpose of the Role:

The Vice President Finance is the execution lead for the clients Smart Manufacturing Hub's capital agenda. The role carries direct accountability for delivering the Groups dual ADX / NYSE initial public offering targeted for Q4 2027, the USD 5 billion Green Wakala Sukuk programme (Series 1 of USD 750 million), and the debt and equity funding required to finance a gross programme portfolio of approximately USD 50.7 billion across the UAE, United States, Portugal, Paraguay, Thailand and Botswana. The postholder converts the Groups development pipeline into bankable, listed-company-grade financial substance - audited track record, defensible valuation, institutional governance and a sequenced investor book.

3. Key Responsibilities and Accountabilities:

A. IPO Readiness and Execution:

- Own the end-to-end IPO workstream plan for the Q4 2027 ADX primary listing and NYSE secondary listing, including the critical-path milestone calendar and readiness gate reviews reported monthly to the CFO and Board.

- Lead the selection, appointment and day-to-day management of joint global coordinators, bookrunners, listing advisers, legal counsel (UAE, ADGM and US securities), reporting accountants, financial printers and the IPO communications adviser.

- Drive preparation of the prospectus / offering circular, including the business description, operating and financial review, risk factors, capitalisation and indebtedness statement, working capital statement and profit forecast where applicable.

- Coordinate the financial and legal due diligence process, verification notes, comfort letters, bring-down procedures and the long-form report.

- Manage engagement with the Securities and Commodities Authority (SCA), Abu Dhabi Securities Exchange (ADX), the ADGM Registration Authority / FSRA, and - for the US leg - SEC and NYSE listing requirements, including Rule 144A / Regulation S structuring where adopted.

- Deliver financial reporting readiness: IFRS-compliant consolidated and carve-out historical financial information, a three-year audited track record, quarterly hard-close discipline, and a fast-close calendar consistent with listed-issuer reporting obligations.

- Establish the listed-company control environment in conjunction with the CFO: internal financial controls documentation, delegation of authority, related-party transaction framework, disclosure committee and inside-information procedures.

B. Islamic and Conventional Debt Capital Markets:

- Execute the USD 5 billion Green Wakala Sukuk programme: structuring in conjunction with arrangers, Wakala asset pool identification and perfection, Shariah Supervisory Board engagement and fatwa, programme documentation, and drawdown of Series 1 (USD 750 million) and subsequent series.

- Own the Group Green Financing Framework, alignment with ICMA Green Bond Principles and Green Loan Principles, appointment of the Second Party Opinion provider, and post-issuance allocation and impact reporting.

- Lead credit rating agency engagement (Moodys, S&P, Fitch and/or regional agencies): rating presentations, information requests, rating committee follow-up and maintenance of the rating over the programme life.

- Negotiate and close the Emirates Development Bank concessional facility of up to USD 9 billion at indicative pricing of circa 5.5%, together with export credit agency cover, Islamic syndications, and limited-recourse project financing at SPV level for the Portugal, Paraguay, Thailand and Botswana programmes.

- Manage covenant architecture, security packages, intercreditor arrangements, hedging policy (profit rate and FX) and the Group treasury and liquidity plan.

C. Equity Fund Raising and Investor Relations:

- Execute the anchor and cornerstone investor sequencing strategy across sovereign and quasi-sovereign capital (including Abu Dhabi and wider GCC institutions), GCC Islamic banks, development finance institutions, and international strategic and financial investors.

- Prepare and maintain the institutional-grade investor collateral suite: information memoranda, management presentations, teasers, financial model summaries, and the pre-deal investor education pack.

- Build, populate and control the virtual data room; manage Q&A logs, site visits and management meeting logistics for prospective investors and lenders.

- Structure and negotiate pre-IPO convertible instruments, cornerstone subscription agreements, shareholder agreements and investor protection provisions in conjunction with the CFO and Group Legal.

- Represent the Group in investor forums, ministerial and regulator meetings, and capital markets conferences in the UAE and internationally.

D. Valuation, Planning and Governance:

- Own the defensibility of the Group Enterprise Valuation (RHL/GEV/2026/001), including methodology, sum-of-the-parts build-up, discount rate derivation, comparable company and transaction benchmarking, and the audit trail supporting each assumption.

- Commission and manage independent third-party valuation, technical adviser, market study and model audit opinions to convert internally prepared analysis into externally citable evidence.

- Direct the Group financial planning cycle: consolidated budget, rolling forecast, capital allocation, programme-level funding plans and covenant headroom monitoring.

- Ensure entity and corporate documentation hygiene across the group structure, including the pre-IPO reorganisation, intra-group agreements, and clean legal title to programme assets and SPV interests.

- Prepare Board, Audit Committee and Investment Committee papers on all capital markets and funding matters.

4. Key Performance Indicators:

- Achievement of IPO readiness gates against the Q4 2027 listing calendar (no slippage on critical path).

- Quantum of capital raised versus plan - equity, sukuk and debt - and weighted average cost of capital achieved.

- Successful pricing and closing of Green Wakala Sukuk Series 1 (USD 750 million) and programme establishment.

- Delivery of an unqualified three-year audited track record and clean comfort letters.

- Credit rating obtained and maintained at or above target grade.

- Number and quality of anchor / cornerstone commitments secured against the sequencing plan.

- Zero material adverse findings in investor or lender due diligence.

5. Qualifications and Experience:

- Bachelors degree in Finance, Accounting, Economics or Engineering; Masters degree or MBA from a recognised institution preferred.

- Professional qualification required: CA / ACA / ACCA / CPA and/or CFA charterholder.

- Minimum fifteen (15) years post-qualification experience, of which at least ten (10) years in investment banking, equity capital markets, debt capital markets or corporate finance leadership.

- Demonstrable personal execution role on at least two (2) completed IPOs (primary listing) and at least one (1) sukuk or international bond issuance.

- Direct experience of GCC capital markets and regulators (SCA, ADX, DFM, Tadawul) is essential; US listing exposure (SEC / NYSE / NASDAQ) is a strong advantage.

- Experience in infrastructure, industrial real estate, energy transition or large-scale development platforms strongly preferred.

- Working knowledge of Islamic finance structures (Wakala, Ijara, Murabaha, Mudaraba) and AAOIFI standards.

- Fluent written and spoken English; Arabic is a distinct advantage.

6. Technical and Behavioural Competencies:

- Advanced financial modelling, valuation and transaction structuring capability.

- IFRS technical depth, including consolidation, business combinations, revenue recognition and financial instruments.

- Mastery of prospectus disclosure standards and securities law obligations.

- Exceptional written communication - able to draft board-grade and prospectus-grade text without redrafting.

- Executive presence and credibility with sovereign investors, regulators, rating agencies and bank credit committees.

- Programme management discipline across parallel workstreams under fixed external deadlines.

- Absolute integrity and discretion in handling price-sensitive and confidential information.

7. Key Working Relationships:

Internal: Group CFO; Chairman & Managing Director; Chief Operating Officer; Programme Director; Group Legal; Head of Leasing & Strategic Partnerships; AVP Contracts & Procurement; programme SPV finance leads.

External: Bookrunners and investment banks; external auditors and reporting accountants; UAE and international legal counsel; SCA, ADX, ADGM, SEC and NYSE; rating agencies; Shariah Supervisory Board; Emirates Development Bank and commercial lenders; sovereign wealth funds and institutional investors; second party opinion providers.

8. Terms of Appointment:

Remuneration will comprise a fixed base salary, housing and transport allowances, and an annual performance bonus, together with a long-term incentive element linked to the Groups capital markets milestones for executive-band positions. The full package will be determined by reference to the successful candidates experience and to prevailing UAE market benchmarks for comparable roles. Benefits include medical insurance for the employee and eligible dependants, annual leave and air passage in accordance with Group policy, and end-of-service gratuity in accordance with applicable UAE and free zone employment law. Appointment is subject to satisfactory references, verification of qualifications, background and integrity screening, and completion of visa and licensing formalities.
