
Key Responsibilities:
1. Regulatory & Statutory Compliance:
- Ensure compliance with the Companies Act, 2013 and RBI regulations applicable to NBFCs.
- Manage statutory filings with the Ministry of Corporate Affairs (MCA) and other regulatory authorities.
- Monitor regulatory updates and advise management on compliance requirements.
2. Board & Committee Management:
- Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
- Prepare board agendas, minutes, resolutions, and supporting documentation.
- Ensure adherence to corporate governance standards and board procedures.
3. RBI & NBFC Regulatory Compliance:
- Ensure timely submission of RBI returns and regulatory reporting applicable to NBFCs.
- Coordinate with regulators during inspections, audits, and regulatory reviews.
- Monitor compliance with KYC/AML norms, fair practices code, and other regulatory guidelines.
4. Corporate Governance & Documentation:
- Maintain statutory registers and corporate records.
- Draft and manage board resolutions, policies, and corporate governance documentation.
- Support implementation of governance frameworks and compliance tracking mechanisms.
5. Audit & Compliance Coordination:
- Coordinate with internal, statutory, and regulatory auditors.
- Support closure of audit observations and ensure compliance documentation is maintained.
6. Stakeholder & Regulatory Liaison:
- Act as a liaison between the Board, management, regulators, and external advisors.
- Provide guidance on governance, compliance risks, and regulatory matters.
Qualifications:
- Qualified Company Secretary (Member of ICSI).
- Relevant experience in NBFC / Banking / Financial Services sector.
