Role Overview

We're looking for a seasoned Legal Counsel to join our Mumbai team. This role is crucial for providing legal support across our transaction advisory initiatives, alongside managing corporate legal and secretarial assignments for a listed company. We need someone with a strong grasp of corporate law, excellent drafting skills, and the ability to navigate complex legal landscapes. A Company Secretary qualification is highly valued.

Key Responsibilities

- Transaction Advisory: Provide end-to-end legal support for M&A, joint ventures, and other strategic transactions. This includes legal due diligence, structuring advice, negotiation, and ensuring regulatory compliance (SEBI, Companies Act, FEMA).

- Documentation & Contract Management: Draft, review, and negotiate a wide range of complex legal and commercial contracts (e.g., SPAs, JVAs, service agreements). Develop and maintain contract templates and oversee the entire contract lifecycle.

- Corporate Legal & Secretarial: Advise on corporate governance, prepare board/committee resolutions, ensure statutory filings with ROC, and manage Companies Act compliance for a listed entity.

- General Compliance Advisory: Proactively monitor legal and regulatory changes, provide actionable advice on compliance matters, and assist in developing internal policies for the listed company.

Required Qualifications & Skills

Education: LL.B. from a reputed institution is mandatory; CS qualification is highly preferred.

Experience: Minimum 5 years of post-qualification experience in a corporate legal role, ideally from a law firm or in-house counsel setting, with a proven track record in end-to-end transaction execution.

Legal Expertise: Strong expertise in corporate law, commercial contracts, FEMA, and the Companies Act. Familiarity with SEBI regulations for listed entities is a plus.

Core Competencies: Exceptional drafting, negotiation, and communication skills. Ability to manage stakeholders effectively, work independently, and collaborate in a fast-paced environment.
