Transactional Lawyer/Corporate Lawyer - Law Firm

Opening for Transactional /Corporate Lawyer in a reputed law firm in Mumbai

Responsibilities:

- Draft, review, and negotiate various agreements, including but not limited to share subscription agreements, share purchase agreements, shareholder agreements and joint ventures agreements.

- Provide legal advice to clients on transactional matters, including business structuring, transaction structuring , mergers and acquisitions, and other corporate transactions.

- Conduct legal research to stay updated on relevant laws and regulations that may impact client transactions.

- Assist in due diligence processes for mergers, acquisitions, and other corporate transactions.

- Participate in negotiations and communicate effectively with opposing counsel, clients, and internal stakeholders to reach favorable outcomes.

- Provide guidance on regulatory compliance and ensure that transactions adhere to applicable laws and regulations.

- Manage a caseload efficiently, meet deadlines, and maintain accurate and organized legal documentation.

- Mentor and provide guidance to junior lawyers and legal support staff as needed.

Qualifications:

- Law degree from an accredited law school.

- Proven 5-7 years of experience as a Transactional Lawyer, preferably within a reputable law firm or corporate legal department.

- Strong understanding of contract law, corporate law & commercial/business terms

- Excellent negotiation, communication, and interpersonal skills.

- Ability to manage multiple tasks and priorities in a fast-paced environment.

- Detail-oriented with exceptional analytical and problem-solving abilities.

- Proficiency in legal research and drafting legal documents.

- Demonstrated track record of providing sound legal advice and strategic thinking to clients.
