
This company is a 76+ Years old MNC manufacturing minerals, chemicals & different ferrous products. Seeking for a qualified and experienced Company Secretary to ensure compliance with statutory and regulatory requirements applicable to a listed entity. The candidate should have hands-on experience in handling corporate governance, SEBI compliances, and Board processes of a listed company.
This role will be to look after 1-2 particular listed companies under a group company secretary handling 6-7 different entities.
- Ensure compliance with provisions of the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable laws.
- Manage all secretarial compliances for a listed company.
- Draft and finalize Board Meeting notices, agendas, minutes, and resolutions.
- Conduct Board Meetings, Committee Meetings, AGM & EGM.
- Handle stock exchange filings (BSE/NSE) including quarterly, half-yearly, and annual disclosures.
- Ensure timely filing of forms with ROC and stock exchanges.
- Maintain statutory registers and records.
- Liaise with SEBI, Stock Exchanges, Depositories (NSDL/CDSL), RTA and other regulatory authorities.
- Handle corporate governance matters and ensure adherence to listing regulations.
- Support management in corporate restructuring, mergers, acquisitions, and due diligence.
- Manage secretarial audit, internal audit, and compliance certification.
- Oversee insider trading compliance and related documentation.
Qualification:
- Qualified Company Secretary (Member of ICSI)
Experience:
- 10-15 years of relevant experience
- Must have experience working in a listed company
- Strong knowledge of SEBI (LODR), Companies Act, and corporate laws
Skills Required:
- Strong drafting and communication skills
- Good understanding of corporate governance practices
- Ability to coordinate with senior management and external stakeholders
- Attention to detail and strong compliance orientation
