Job Description:

We are looking for an experienced Team Lead - Corporate Legal to manage the organization's corporate legal function by drafting, reviewing, negotiating, and advising on a wide range of commercial and financial agreements. The role requires ensuring regulatory compliance, mitigating legal risks, supporting strategic business initiatives, and collaborating with cross-functional teams to enable business growth while maintaining legal and regulatory integrity.

Key Responsibilities:

Draft, review, negotiate, and execute a broad spectrum of commercial and corporate agreements, including:

- Joint Venture Agreements

- Vendor and Non-IT Service Agreements

- Banking Cooperation Agreements

- Lead Aggregator Agreements

- Investment Agreements

- Partnership Agreements with Athletes and Coaches

- Sponsorship and Advertising Agreements

- Social Media Management and Brand Management Agreements

- Co-lending and Digital Lending Agreements

- Insurance Corporate Agency Agreements

- SaaS, Software Licensing, and Service Agreements

- Lease, Leave & License Agreements for branch offices and commercial premises

Ensure proper execution and registration of agreements in compliance with the applicable State Stamp Acts and the Indian Registration Act, while coordinating with regional legal and business teams.

Prepare, review, and advise on financial and corporate documentation, including:

- Trust Deeds

- Non-Convertible Debenture (NCD) Documentation

- Bank Facility Documents

- Investment Banker Agreements

- Rating Agency Letters of Intent

Provide legal support to business teams by working closely with Sales, Marketing, Finance, Administration, Compliance, and Operations.

Monitor changes in applicable laws and regulations, including:

- Data Protection Laws

- RBI Guidelines

- NHB Regulations

- IRDAI Regulations

- Digital Lending & Co-lending Frameworks

- Treasury and Outsourcing Regulations

- Portfolio Assignment Agreements

- Other relevant financial services regulations

- Interpret legal and regulatory developments and communicate their impact to internal stakeholders.

- Develop, implement, and update legal policies, contract templates, and standard operating procedures to ensure compliance and operational efficiency.

- Identify, assess, and mitigate legal and contractual risks across business operations.

- Support audits, regulatory inspections, due diligence exercises, and internal governance initiatives.

- Manage external legal counsel whenever required and ensure timely resolution of legal matters.

Qualifications:

Bachelor's and Master's Degree in Law (LL.M.) or Company Secretary (CS) qualification will be an added advantage.

Experience:

8-12 years of post-qualification experience in Corporate Legal, preferably within NBFCs, Banking, Financial Services, FinTech, or large corporate organizations.

Required Skills & Competencies:

- Strong expertise in corporate and commercial contract drafting and negotiation.

- In-depth knowledge of Indian corporate, banking, financial services, and commercial laws.

- Sound understanding of RBI, NHB, IRDAI, and other applicable regulatory frameworks.

- Excellent legal research, analytical, and problem-solving abilities.

- Strong stakeholder management and interpersonal skills.

- Ability to manage multiple priorities in a fast-paced business environment.

- High attention to detail with strong commercial acumen.

- Excellent written and verbal communication skills.

- Leadership experience with the ability to mentor and guide junior legal professionals.
