Why position exists?
Will ensure that the organization is compliant with the Company's Act, SEBI regulations and applicable secretarial standards.
Responsibilities:
- Handling all Corporate law, Ethics and Compliance and regulatory matters as laid from time to time
- Handling all corporate secretarial matters.
The detailed accountabilities will include:
Secretarial:
- conducting Board & General Meetings, drafting of Agenda and minutes of the Board/General Meetings and Company Law matters.
- Ensure adherence to the Compliance program, covering requirements of SEBI Laws, Listing Agreement, Company Law, Forex laws, Competition Law and Labour & Industrial Laws.
- Communicate with regulatory and government authorities, strategize responses to subpoenas, antitrust proceedings, SEBI queries, Stock Exchange notices etc.
- Monitor changes in relevant legislation and the regulatory environment and take appropriate actions;
- Prepare minutes of Board Meeting, Annual General Meeting and various other committees of the Board.
- File various forms and other due compliances before the Registrar of Companies, Stock Exchanges, RBI and other regulatory bodies.

- Current and updated knowledge of Company Law, Securities Law, Corporate Governance, FEMA, Contract and Competition Law and ability to harmonize cross border laws;
- Sound drafting and effective communication skills with attention to detail;
- Ability to apply sound business judgment to transactions and consult effectively with senior management;
- Demonstrated ability to independently manage multiple assignments/projects simultaneously;
- Strong ethical standards and ability to deal with sensitive information in a professional manner;
- Strong data-driven analytical skill combined with the ability to thrive in ambiguity;

- Excellent interpersonal, communication and stakeholder management skills
Technical Knowledge / Experience
- Minimum 8 years' experience post the Company Secretary degree.
- Independently handling the secretarial function of a listed entity
- Experience in Litigations / dispute resolution / company secretarial /company law matters/ contract law
- Familiar with laws and matters related to competition law and specific to telecom industry
