Role Overview:

The Company Secretary will serve as the primary custodian of corporate governance and regulatory compliance for the organization. In this role, you will act as the vital link between the Board of Directors, senior management, and regulatory authorities, ensuring that all corporate actions align with the Companies Act and other relevant legal frameworks. You will manage the end-to-end secretarial functions, including board meetings, statutory filings, and corporate record-keeping, while providing strategic counsel to leadership on complex legal and compliance matters to mitigate risk and support the companys international growth objectives.

Key Responsibilities:

- Manage the end-to-end process for board and committee meetings, including drafting agendas, preparing comprehensive board packs, and recording minutes to ensure accurate documentation of corporate decisions.

- Oversee all statutory filings and compliance requirements under the Companies Act, FEMA, and other applicable regulations to maintain the companys legal standing with the Registrar of Companies and other authorities.

- Maintain and update statutory registers and records to ensure complete transparency and readiness for internal and external audits.

- Facilitate the execution of corporate restructuring, capital changes, and other secretarial activities to support the companys evolving business structure.

- Provide expert guidance to the Board and senior management on corporate governance best practices and regulatory updates to ensure proactive compliance and informed decision-making.

- Coordinate with legal counsel and external auditors to manage litigation, due diligence processes, and regulatory inquiries effectively.

Required Skillset:

- Possess a deep understanding of the Companies Act, 2013, SEBI regulations, and FEMA guidelines, with the ability to interpret and apply these laws to complex business scenarios.

- Demonstrate exceptional drafting skills for legal documents, board resolutions, and corporate communications, ensuring clarity and precision in all documentation.

- Exhibit strong interpersonal skills to navigate sensitive discussions with board members and stakeholders while maintaining the highest level of professional integrity and confidentiality.

- Hold a professional qualification as a Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).

- Display the ability to work effectively in an on-site environment in Mumbai, managing multiple priorities in a fast-paced, high-growth organization.

- Show proficiency in managing digital compliance platforms and corporate secretarial software to streamline reporting and filing processes.
