Specialist/Lawyer - Capital Market - LLB

About the job:

We are looking for Capital Market Lawyers to join our team in Mumbai / Delhi. The ideal candidates will have a strong background in capital market transactions and advisory services, with a preference for those who have worked in a law firm setting.

Experience:

- 3 to 5 years of post-qualification experience in capital markets law.

- LLB Batch of 2017 to 2020.

- Experience must be from a reputable law firm.

Key Responsibilities:

Fund Raising: Lead and advise on various fund-raising activities for both listed and unlisted companies, including:

- Public offerings and private placements.

- Initial Public Offerings (IPOs) and Qualified Institutional Placements (QIPs).

- Foreign Currency Convertible Bonds (FCCBs).

- Renounceable and non-renounceable rights issues.

- Public issues of bonds and debentures.

Transaction Documentation: Prepare, review, and finalize all necessary transaction documents, including:

- Red Herring Prospectus (RHP).

- Offer documents.

- Due diligence reports for capital market transactions.

Advisory Services: Provide expert advisory services to listed companies and market intermediaries on a wide range of statutory and regulatory compliance matters. This includes:

- Day-to-day compliance obligations with Stock Exchanges (e.g., NSE, BSE) and SEBI.

- Continuous disclosure requirements.

- Listing criteria and regulatory filings.

Mergers and Acquisitions (M&A): Advise on takeovers and related aspects of securities law.

Debt and Equity Capital Markets (DCM & ECM): Handle transactions related to both debt and equity capital markets, ensuring all legal and regulatory requirements are met.

- Attention to detail and the ability to manage multiple complex transactions simultaneously.
