Som Group of Companies is an integrated Alcobev player based out of Central India, operating five manufacturing plants across the country.

The group produces a wide range of alcoholic beverages including Beer, Whisky, Vodka, Rum, Gin, Ready to drink beverages & Country Liquor.

The group is known for its world-class brands like Hunter, Blackfort, and Power cool, the group focuses on delivering quality products and long-term value to stakeholders.

Role: Company Secretary; based at Bhopal.

KEY RESPONSIBILITIES:


- Corporate Governance & Board Support Organize board meetings, record minutes, and ensure timely follow-up on board resolutions.

- Legal & Regulatory Compliance Ensure full compliance with corporate laws, SEBI regulations, and statutory filings.

- Company Secretarial Services Manage shareholder communications, issue notices for AGMs/EGMs, and facilitate smooth share transfers.

- Advisory Assistance Provide expert advice to the board and management on governance, compliance, and risk mitigation.

- Corporate Finance & Compliance Support financial reporting, ensuring disclosures align with regulatory requirements.

- CSR Compliance Oversee Corporate Social Responsibility (CSR) initiatives and ensure compliance with CSR obligations.

- Liaison with Regulators & External Authorities Act as the companys key liaison with government bodies, ensuring smooth communication with regulatory authorities.

- Trade Mark & IPR Coordination Manage the companys intellectual property portfolio, ensuring proper protection and registration of trademarks and patents.

KEY SKILLS REQUIRED:


- Corporate Governance & Compliance Strong knowledge of Companies Act, SEBI regulations, and corporate law.

- Legal & Regulatory Expertise Experience handling corporate legal matters, contracts, and risk mitigation.

- Financial & Reporting Acumen Ability to oversee financial disclosures, statutory filings, and shareholder communication.

- Stakeholder Management Strong engagement with board members, investors, regulatory authorities, and legal counsel.

- Risk Management & Ethical Oversight Ability to identify, mitigate, and manage legal and regulatory risks.

- Communication & Negotiation Skills Expertise in drafting legal documents, negotiating agreements, and presenting to the board.

EDUCATIONAL QUALIFICATION:


- Qualified Company Secretary (CS) with ICSI certification.

- Bachelors or Masters degree in Law (LLB) (preferred).

CANDIDATE REQUIREMENTS:


- 10-15 years of experience in corporate governance, compliance.

- Prior experience in a listed company is mandatory.

- Extremely versatile, dedicated, and a high output efficiency.

- Personal and professional credibility needed to build and maintain strong internal and external relationships.

- Strong analytical capability.

- Self-starter and ability to work independently without supervision.

- Good communication skills.
