Title : Senior Legal Counsel ( Senior Manager ) - NBFC / Financial Investment / Financial Institution
Location : Gurgaon
Key Responsibilities :
- Manage end-to-end legal negotiation, documentation and closure for NCD and PTC transactions.
- You will lead all legal workstreams for a transaction with oversight and mentorship from Organisations CIO and the Head of Legal Function.
- Work in collaboration with the legal counsel of the Issuer, Organisations external legal counsel to ensure all aspects of the transaction documents are handled timely, meticulously and efficiently
- Constantly track and review documentation of similar transactions to ensure Organisations transaction documents meet industry standards for investor protection and enforcement
- Monitor CP and CS completion; If required assist in undertaking legal remedies against a defaulting issuer
- Review and advise on structuring and risk management in relation to innovative financing structures, investment product development, including creating/ reviewing relevant documentation
Educational Qualification & Work Experience :
- LLB / LLM with 3 to 5 years of post qualification experience with a significant focus on debt transactions
- An ideal candidate would bring a mix of experience as an (a) in-house counsel at a financial services firm and (b) top tier law firm
- Familiarity with reviewing, drafting and negotiating NCD documents, loan agreements, securitisation transactions/structured financing documentation
- Excellent communication skills and project management skills
- Strong attention to detail
