Role Overview:
The Senior Manager - Merger and Acquisition (Company Secretary) will play a crucial role in managing the legal and compliance aspects of the company's M&A activities. This position involves working closely with the M&A team, legal counsel, and other stakeholders to ensure seamless execution of transactions while adhering to all applicable laws and regulations. The role directly contributes to the company's strategic growth by facilitating successful mergers, acquisitions, and divestitures.
Key Responsibilities:
- Manage all company secretarial aspects related to M&A transactions, ensuring compliance with the Companies Act, SEBI regulations, and other relevant laws.
- Conduct thorough due diligence on target companies, identifying potential legal and regulatory risks.
- Draft, review, and negotiate transaction documents, including share purchase agreements, merger agreements, and other related contracts.
- Coordinate with legal counsel, financial advisors, and other consultants to ensure smooth execution of M&A transactions.
- Advise the M&A team on legal and regulatory implications of proposed transactions.
- Ensure timely and accurate filing of all necessary documents with regulatory authorities.
- Manage post-merger integration activities from a legal and compliance perspective.
- Develop and implement compliance programs to mitigate legal and regulatory risks associated with M&A activities.
- Provide training and guidance to team members on relevant legal and compliance matters.
- Monitor changes in laws and regulations related to M&A and advise the company on necessary actions.
Required Skillset:
- Demonstrated ability to navigate complex corporate law matters, particularly those related to mergers and acquisitions.
- Proven expertise in conducting due diligence, identifying risks, and developing mitigation strategies.
- Exceptional negotiation and drafting skills, with a focus on transaction documents.
- Strong understanding of financial reporting requirements and their implications for M&A transactions.
- Ability to manage and mentor a team of legal and compliance professionals.
- Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels.
- Qualified Company Secretary with a degree in Law or a related field.
