We are seeking an experienced Legal & Company Secretary Manager to oversee corporate governance, statutory compliance, legal documentation, and regulatory matters. The role will ensure compliance with applicable laws while providing legal support to business functions and safeguarding the organization's legal interests. Key Responsibilities: Company Secretarial: - Ensure compliance with the Companies Act, Secretarial Standards, and other applicable corporate laws. - Manage Board Meetings, Committee Meetings, and Annual General Meetings. - Prepare agendas, board notes, minutes, and resolutions. - Maintain statutory registers and ensure timely ROC filings. - Coordinate with statutory auditors, regulators, and external consultants. - Ensure adherence to corporate governance practices and statutory requirements. Legal: - Draft, review, negotiate, and manage commercial contracts, vendor agreements, service agreements, NDAs, and lease agreements. - Provide legal advice to business teams on operational and commercial matters. - Handle legal notices, litigation matters, and coordinate with external legal counsel. - Ensure compliance with labour laws, contract laws, intellectual property laws, and other applicable regulations. - Monitor regulatory changes and advise management on legal implications. - Develop and update internal legal policies and compliance frameworks. - Support legal due diligence, risk assessment, and business expansion initiatives. Qualifications & Experience: - Qualified Company Secretary (CS) Mandatory. - LLB Mandatory. - 5-10 years of relevant experience in Company Secretarial and Corporate Legal functions. - Strong knowledge of the Companies Act, corporate governance, and commercial contract management. - Experience in Retail, Fashion, Consumer Goods, Manufacturing, or Corporate organizations is preferred. - Excellent drafting, negotiation, analytical, and stakeholder management skills. - Ability to manage multiple priorities in a fast-paced environment.
