Position Summary:
We are seeking a highly motivated and experienced legal professional to join our team as Senior Manager (Legal). The role will have a strong focus on supporting transactions and drafting, reviewing, and advising on a range of critical agreements across three key areas:
1.M&A / Master Franchise Agreements
2.Information Technology Agreements (SaaS, Software Licenses)
3.Services Agreements (General Services, Manpower Services)
Key Responsibilities:
1. M&A / Master Franchise Agreements:
- Draft, review, and negotiate agreements related to M&A transactions, joint ventures, and investments.
- Support the drafting, review, and negotiation of master franchise agreements and related documents.
- Assist in due diligence and transaction structuring, providing legal input and risk mitigation.
2. Information Technology Agreements
- Draft, review, and negotiate SaaS agreements, software license agreements, and other technology-related agreements.
- Advise stakeholders on IP rights, data privacy, and information security-related legal requirements.
- Maintain templates and playbooks for SaaS and software licensing agreements.
3. Services Agreements:
- Draft and review service agreements (both general services and manpower services).
- Advise internal departments and stakeholders on service agreement terms, compliance, and risk mitigation.
- Maintain and update agreement templates and standard clauses to align with applicable laws and best practices.
Qualifications and Experience:
- LL.B. from a recognized university.
- 6-9 years of post-qualification experience in corporate and commercial law, with a focus on SaaS, franchise, M&A, and service agreements.
- Strong drafting and negotiation skills, with meticulous attention to detail.
- In-depth understanding of corporate laws, IP, data privacy, and contract laws.
- Solution-oriented mindset with a proactive approach to risk mitigation.
