Role Description: Senior Manager Legal Advisory to Regulatory Affairs Department: Legal & Regulatory Affairs Location: Mumbai. Reporting To: Head Legal Advisory / Regulatory Affairs Purpose of the Role The Senior Manager Legal Advisory to Regulatory Affairs will be responsible for providing timely and effective legal opinions and advisory support on regulatory queries, particularly under securities and corporate laws including the Companies Act, SEBI Regulations (LODR, ICDR), IBC, and other applicable legal frameworks. The role includes: - Supporting regulatory compliance and policy development across the organization. - Advising business teams on regulatory and legal risks and facilitating their mitigation. - Liaising with regulators and external counsel, and ensuring timely updates on regulatory changes. - Promoting legal awareness and capacity-building within internal teams. The incumbent will align departmental outputs with the strategic objectives of the company while safeguarding its legal and reputational interests. Key Responsibilities Description Legal Support for Regulatory Affairs - Advise on regulatory matters related to capital markets and securities laws such as SEBI regulations (LODR, ICDR), Companies Act, and IBC. - Assist in review and response to show cause notices, regulatory orders, and related matters. - Track legal and regulatory updates and provide timely inputs to management. Advisory & Policy Affairs - Draft and review policies and SOPs relevant to regulatory compliance. - Provide legal opinions on matters with business and regulatory ramifications. - Represent the organization before statutory and industry bodies. Risk & Relationship Management - Identify and mitigate legal risks proactively. - Maintain and build trusted relationships with external regulators, legal firms, and industry peers. - Represent Company in constructive engagements that promote orderly capital market development. Continuous Education & Orientation - Conduct legal orientation and awareness sessions for internal stakeholders. - Promote understanding of key legal developments across business units. - Use legal databases and knowledge management tools to enhance advisory function. Performance Measure Business & Financial : 1. Strategic & Dept. Timely delivery of legal opinions and updates to stakeholders as per Key Result Areas (KRAs). 2. Customer Focus (Internal/External)- Maintain or improve Customer Satisfaction Index through internal surveys. 3. Operational Efficiency & Cost -Reduce dependency on external consultants by enhancing in-house capabilities. Improve internal processes and team productivity. 4. Progress- Through People Foster cross-functional teamwork and engagement with stakeholders across departments. 5 .Regulatory Relationship-Management Prioritize responses and actions on all matters involving regulators or government authorities. 6. Business Excellence -Deliver high-quality legal inputs and opinions promptly, supporting business excellence. Role Holder Requirements Educational Qualifications Mandatory: Graduate or Postgraduate Degree in Law from a reputed law school. Desirable: Additional qualification as Company Secretary (CS) preferred. Experience Total: Minimum 810 years of legal experience. Specific: At least 35 years in a regulatory advisory or legal leadership role, including team management. Key Competencies - Strong knowledge of securities laws, capital market regulations, and corporate law frameworks. - Proven ability to interpret legal provisions, assess regulatory risks, and communicate effectively with regulators and business stakeholders. - Effective team management, interpersonal, and cross-functional coordination skills. - Excellent drafting, legal research, and advisory capabilities.
