Role Overview:

The Sr Manager - CS (Listed Entity) will be responsible for ensuring the company's adherence to all applicable corporate laws, regulations, and listing requirements. This role involves managing compliance activities, coordinating with various stakeholders including board members, regulatory authorities, and internal teams, and contributing to the overall corporate governance framework. The position directly impacts the company's reputation, legal standing, and shareholder confidence.

Key Responsibilities:

- Ensure meticulous compliance with the Companies Act, SEBI regulations, and other relevant statutes to safeguard the company's legal integrity and minimize risk.

- Manage all aspects of corporate secretarial functions, including board meetings, annual general meetings, and other shareholder communications, to maintain transparency and effective governance.

- Prepare and file necessary documents and returns with regulatory authorities such as the Registrar of Companies (ROC) and SEBI to meet statutory deadlines and avoid penalties.

- Advise the Board of Directors and senior management on corporate governance matters, ensuring informed decision-making and adherence to best practices.

- Maintain statutory registers and records accurately and securely to comply with legal requirements and facilitate audits.

- Coordinate with internal departments and external advisors (legal counsel, auditors, etc.) to address compliance-related issues and ensure a unified approach.

- Monitor changes in corporate laws and regulations and assess their impact on the company, implementing necessary adjustments to policies and procedures.

- Handle investor relations activities, including responding to shareholder queries and managing communications, to foster positive relationships and maintain investor confidence.

Required Skillset:

- Demonstrated ability to interpret and apply corporate laws, regulations, and listing requirements effectively.

- Proven expertise in managing corporate secretarial functions, including board meetings, AGMs, and regulatory filings.

- Excellent communication and interpersonal skills, with the ability to interact confidently with senior management, board members, and regulatory authorities.

- Strong analytical and problem-solving skills, with a keen attention to detail.

- Ability to work independently and manage multiple priorities in a fast-paced environment.

- Qualified Company Secretary (ACS/FCS) with a minimum of 8-12 years of relevant experience in a listed entity.

- Adaptability to work on-site in Navi Mumbai.
