Role Overview:

As a Senior Manager - Company Secretary, you will serve as the primary legal and compliance anchor for capital market transactions within the network. You will work closely with founders, merchant bankers, and regulatory bodies to navigate the complexities of fundraising and public offerings. This role is pivotal in ensuring that all corporate governance frameworks are robust, thereby safeguarding the interests of stakeholders and ensuring seamless execution of high-stakes financial mandates.

Key Responsibilities:

- Manage end-to-end compliance for IPOs and private placement mandates to ensure adherence to SEBI regulations and the Companies Act.

- Conduct comprehensive legal due diligence for startups preparing for capital raises to identify and mitigate potential regulatory risks.

- Coordinate with merchant bankers and legal counsel to draft and review offer documents, ensuring accuracy and regulatory alignment.

- Oversee corporate secretarial functions for portfolio companies, maintaining statutory records and ensuring timely filings with the Registrar of Companies.

- Advise leadership on evolving capital market regulations to maintain high standards of corporate governance across the network.

Technical Proficiencies:

- Well versed with DRHP drafting.

- ICDR Regulations.

- SEBI & Capital Market Compliance.

Required Skillset:

- Possess deep expertise in capital market regulations, specifically regarding IPO processes, SEBI ICDR regulations, and corporate law.

- Demonstrate a proven ability to lead due diligence processes, translating complex legal findings into actionable business insights.

- Exhibit strong interpersonal skills to effectively manage relationships with external stakeholders, including merchant bankers and regulatory authorities.

- Maintain a high level of professional integrity and attention to detail when managing sensitive corporate documentation.

- Hold a qualified Company Secretary (CS) certification with 6 - 12 years of relevant experience in a corporate or professional services environment.

- Thrive in a fast-paced, on-site work environment in Delhi, balancing multiple high-priority mandates simultaneously.
