Position: Sr. Manager-Company Secretary (Leading Financial Services Co)
Role:
- Assisting in secretarial activities, holding Board and Committee Meetings, preparing draft agenda and minutes,
- Assisting in preparation of notice and minutes of General Meeting
- Ensuring that the Company is on track with the responsibilities under Company Laws.
- Ensuring that the returns are filed within timelines and registers are maintained.
- Vetting of agreements, contracts and other legal documents
- To monitor the constitution of various Committees of the Company as required under Companies Act, 2013, RBI guidelines and other regulatory guidelines
- Compliance to statutory rules as per Companys Act (including filing of Statutory returns)
- Assisting in compliance towards SEBI & RBI guidelines, where required
- To maintain statutory registers as per regulatory requirements.
Requirements:
- Qualification Company Secretary (ICSI) & LLB
- Experience 10+ years of company secretarial Experience, preferably in a financial service company
- Domain knowledge & competencies Sound knowledge of Company Law and Secretarial Practice, good drafting skills.
- Good Communication skills, Experience in Vetting of agreements and other legal documents.
- Experience subject matter expertise in various areas of Company Secretary.
- Ability to work with internal stakeholders & management cohesively to support teams on Compliance & secretarial matters.
- Managing time bound work with efficiency and accuracy
