
Senior Manager / Chief Manager Legal (Alternative Investment Fund) AIF
Role and Responsibilities:
AIF Documentation:
- Review and finalize AIF-related documents such as private placement memorandums, investment management agreements, trust deed etc.
- Liaise with internal stakeholders and external counsel to ensure timely and compliant documentation for new fund launches.
Transaction Review:
- Review and negotiate legal documentation related to equity and fixed income investments, including term sheets, subscription agreements, debenture trust deeds and shareholder agreements.
- Assist in structuring transactions to mitigate legal risks and ensure enforceability.
- Ensure compliance with applicable laws and internal policies for all investment transactions.
- Liaise with external counsel and counterparties as required.
Contract Review & Negotiation:
- Review, draft and negotiate various commercial agreements including vendor contracts, service provider agreements, distribution agreements, NDAs, technology service contracts, and other business-related documents.
- Provide legal advice and risk assessment on contractual obligations and rights.
Qualifications & Experience:
- Education: LL.B. or equivalent law degree from a recognized university.
- 10 - 12 years of post-qualification experience, with at least 5 years in equity and fixed income transactions.
- Prior experience in asset management legal or a law firm with a capital markets practice is highly desirable.
- Strong understanding of SEBI regulations governing equity and fixed income financing.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Commercial acumen and ability to balance legal risk with business objectives.
- High attention to detail and strong organizational skills.
