Senior Manager/AVP Secretarial & Compliance

Location: Mumbai

Key Responsibilities:

1. Compliance Management:

- Ensure compliance with Companies Act, SEBI LODR, RBI Directions, and all other laws applicable to High Value Debt Listed NBFCs.

2. Regulatory Filings:

- Prepare and file timely and accurate disclosures, documents, and intimations with stock exchanges, MCA, RBI, depositories, and other authorities.

3. Regulatory Inspections:

- Handle and coordinate the regulatory inspections.

4. Audit Coordination:

- Oversee compliance audits and inspections; coordinate with internal and external auditors.

5. Board Documentation:

- Prepare agendas, notices, resolutions, and minutes for Board, Committee, and General Meetings (AGMs/EGMs).

6. Policy Governance:

- Monitor regulatory changes and communicate their implications to management; draft, review, and update company policies accordingly.

7. Financial Instruments:

- Support issuance of NCDs, CPs, and other instruments, ensuring compliance under SEBI regulations.

8. Industry Awareness:

- Stay abreast of changes in applicable laws, regulations, and industry practices impacting infrastructure finance and NBFC sectors.

Key Requirements:

Experience:

- Minimum 6 years of relevant post qualification experience in the secretarial and regulatory compliance domain, in the NBFC or financial services sector.

- Demonstrated experience in handling Board processes, RBI inspections, regulatory filings, and compliance frameworks.

Educational Qualification:

- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).

- Additional qualifications such as LLB will be an added advantage.

Functional Competencies:

- In-depth understanding of Companies Act, SEBI LODR, RBI Directions, and related regulations.

- Strong knowledge of corporate law, SEBI regulations, and governance standards.

- Expertise in drafting, reviewing, and updating company policies, board agenda, minutes and other legal documents.

- Experience in handling compliance audits, regulatory inspections, and secretarial functions.

- Strong ethical standards and integrity.

- Ability to adapt to regulatory changes and a dynamic business environment.

- High degree of team spirit and ability to coordinate seamlessly across internal departments and external stakeholders.
